Absence of Litigation, Orders, Etc. There shall not be pending or, to the knowledge of the Company or its Subsidiaries, threatened, any action, suit, proceeding, governmental investigation or arbitration against or affecting any of the Company or its Subsidiaries, or the respective assets or property of such Persons which seeks to enjoin or restrain any of the transactions contemplated herein, in the other Operative Documents, in the Bank Documents, or the Acquisition Documents or which is reasonably likely to have a Material Adverse Effect. No order of any court, arbitrator or governmental body shall be in effect which purports to enjoin or restrain any of the transactions contemplated herein or which you reasonably believe in good faith could constitute a Material Adverse Effect.
