Common use of Absence of Questionable Payments Clause in Contracts

Absence of Questionable Payments. Neither the Company nor any Affiliate, director, officer, partner, employee, agent, representative or other Person acting on behalf of the Company has: (i) used any funds for contributions, payments, gifts or entertainment, or made any expenditures relating to political activities of foreign, federal, state or local government officials or others in violation of any law (including the Foreign Corrupt Practices Act of 1977, as amended), or (ii) accepted or received any unlawful contributions, payments, gifts or expenditures.

Absence of Questionable Payments. Neither the Company nor any Affiliate, director, officer, partner, employee, agent, representative employee or other Person person acting on behalf of the Company has: (i) Company, has used any corporate or other funds for unlawful contributions, payments, gifts gifts, or entertainment, or made any unlawful expenditures relating to political activities of foreign, federal, state or local activity to government officials or others in violation others. Neither the Company nor any current director, officer, agent, employee or other person acting on behalf of any law (including the Foreign Corrupt Practices Act of 1977Company, as amended), or (ii) has accepted or received any unlawful contributions, payments, gifts gifts, or expenditures.

Absence of Questionable Payments. Neither the Company nor any Affiliate, director, officer, Company Stockholder, partner, employee, agent, representative or other Person Person, in each case acting on behalf of the Company Company, has: (i) used any funds for contributions, payments, gifts or entertainment, or made any expenditures relating to political activities of foreign, federal, state or local government officials or others in violation of any law Law (including the Foreign Corrupt Practices Act of 1977, as amended), or (ii) accepted or received any unlawful contributions, payments, gifts or expenditures.

Absence of Questionable Payments. Neither the Company Company, nor any Affiliateof its Subsidiaries nor any of their respective directors, directorofficers, officeremployees and Affiliates, partnernor, employeeto the best knowledge of the Company, agentany of the agents, representative representatives or other Person Persons acting on behalf of any of the Company foregoing Persons, has: (ia) used any corporate or other funds for unlawful contributions, payments, gifts or entertainment, or made any unlawful expenditures relating to political activities of foreign, federal, state or local to government officials or others in violation of any law (including the Foreign Corrupt Practices Act of 1977, as amended), others; or (iib) accepted or received any unlawful contributions, payments, gifts or expenditures.

Absence of Questionable Payments. Neither To the Company nor any Affiliate, director, officer, partner, employee, agent, representative or other Person acting on behalf best knowledge of the Company has: (i) and the Principals, neither the Company, nor any of its directors, officers, agents, employees or other person acting on its behalf, has used any of the Company's funds for unlawful contributions, payments, gifts or entertainment, or made any unlawful expenditures relating to political activities of foreign, federal, state or local activity to government officials or others in violation of others. Neither the Company nor any law (including the Foreign Corrupt Practices Act of 1977current director, as amended)officer, agent, employee or (ii) other person acting on its behalf has accepted or received any improper or unlawful contributions, payments, gifts or expenditures.
