Buyer is not subject to any Regulatory Agreement with any Governmental Entity that restricts or would reasonably be expected to restrict its ability to purchase the Assets at the Branches or to assume the Liabilities, nor has the Buyer been advised in writing by any Governmental Entity that it is considering issuing or requesting any Regulatory Agreement.
