Common use of Absence of Representations and Warranties Clause in Contracts

Absence of Representations and Warranties. Seller confirms that neither Buyer nor anyone purportedly acting on behalf of Buyer has made any representations, warranties, agreements, or statements respecting the business, affairs, financial condition, plans, or prospects of the Corporation nor has Seller relied on any representations, warranties, agreements, or statements in the belief that they were made on behalf of any of the foregoing nor has Seller relied on the absence of any such representations, warranties, agreements, or statements in reaching Seller’s decision to sell the Shares and the Warrant.
