Common use of Absence of Rights to Acquire Securities Clause in Contracts

Absence of Rights to Acquire Securities. Other than as set out in this Agreement or as set forth in the Target Disclosure Statement, no Person has any agreement, right or option, present or future, contingent, absolute or capable of becoming an agreement, right or option or which with the passage of time or the occurrence of any event could become an agreement, right or option: (a) to require the Target to issue any further or other shares in its capital or any other security convertible or exchangeable into shares in its capital or to convert or exchange any securities into or for shares in the capital of the Target; (b) for the issue or allotment of any unissued shares in the capital of the Target; (c) to require the Target to purchase, redeem or otherwise acquire any of the issued and outstanding Target Shares or other securities of the Target; or (d) to purchase or otherwise acquire from the Target any interest in the Property or any of the Target Assets.
