Absence of Third-Party Beneficiaries. Nothing in this Agreement, express or implied, is intended to (a) confer upon any person or entity other than the parties to this Agreement, any rights or remedies under or by reason of this Agreement as a third-party beneficiary or otherwise; or (b) authorize anyone not a party to this Agreement to maintain an action or institute an arbitration proceeding pursuant to or based upon this Agreement.
Absence of Third-Party Beneficiaries. The provisions of the Agreement are intended to benefit only Computershare and the Company, and no rights shall be granted to any other person by virtue of this Agreement.

Except as expressly provided in the Parties’ respective indemnification obligations hereunder, this Agreement is entered into solely between, and may be enforced only by, JEA and Service Provider, and this Agreement shall not be deemed to create any rights in third parties, including Subcontractors, suppliers and Customers of a Party, or to create any obligations of a Party to any such third parties. There are no third party beneficiaries of this Agreement, whether intended, incidental, or otherwise.
Absence of Third-Party Beneficiaries. Unless this Agreement expressly provides otherwise, neither party intends any provision of this Agreement to confer upon or give to any person other than DAS and IPNI any rights, remedies or other benefits.
Absence of Third-Party Beneficiaries. Except for the External Advisors Fees, this Agreement only generates obligations in favor of the Parties, and therefore nothing in this Agreement, either express or implied, confer or is intended to confer on any other Person any right, benefit or remedy of any nature under or by reason of this Agreement.
