Absence of Transfer Restrictions. The Shares and ADSs, when issued, are freely transferable by the Company to or for the account of the several Underwriters and are freely transferable by the several Underwriters to the initial purchasers thereof under the laws of Korea except as described in the Prospectus.

The Shares and the ADSs, when issued, are freely transferable by the Company or the Selling Shareholders, as the case may be, to or for the account of the several Underwriters and are freely transferable by the several Underwriters to the initial purchasers thereof under the laws of Korea applicable law, except as described in the Prospectus.
