Such Advisor is not in violation of its organizational documents or in default under any agreement, indenture or instrument, where such violation or default would reasonably be expected to have a material adverse effect on the ability of such Advisor to perform its obligations under the Investment Management Agreement, the Sub-Advisory Agreement or the Fee Agreements to which it is a party.
