Common use of Absence of Violation Clause in Contracts

Absence of Violation. Neither the execution and delivery of this Agreement nor the consummation of the transactions contemplated hereby will constitute a violation of, or default under, or conflict with, or require any consent under any term or provision of the certificate of incorporation or by-laws of such Stockholder or any contract, commitment, indenture, lease or other agreement to which such Stockholder is a party or by which such Stockholder or any of its assets is bound.

Absence of Violation. Neither the execution and delivery of this Agreement nor the consummation of the transactions contemplated hereby will constitute a violation of, or default under, or conflict with, or require any consent under any term or provision of the certificate of incorporation or by-laws of such Stockholder or any contract, commitment, indenture, lease or other agreement to which such the Stockholder is a party or by which such the Stockholder or any of its his assets is bound. The Stockholder shall not enter into an contract, commitment, indenture, lease or other agreement, written or oral, in conflict herewith or grant or commit to grant any proxy, written or oral, with respect to the Shares.

Neither the execution and delivery of this Agreement nor the consummation of the transactions contemplated hereby will constitute a violation of, or default under, or conflict with, or require any consent under any term or provision of the certificate of incorporation or by-laws of such Stockholder or any contract, commitment, indenture, lease or other agreement to which such Stockholder is a party or by which such Stockholder or any of its his or her assets is bound.

Absence of Violation. Neither the execution and or delivery of this Agreement by the Investor nor the consummation of the transactions transaction contemplated hereby will constitute by the Investor constitutes a violation of, or default under, under or conflict conflicts with, or require will result in the creation of any consent under encumbrance on any term or provision of the certificate of incorporation or by-laws of such Stockholder or assets owned by the Investor under any contract, commitment, indenturelease, lease instrument or other agreement to which such Stockholder the Investor is a party or by which such Stockholder or any of its assets the Investor is bound.

Neither the execution and delivery of this Agreement nor the consummation of the transactions contemplated hereby will constitute a violation of, or default under, or conflict with, or require any consent under any term or provision of the certificate of incorporation or by-laws of such Stockholder the Company or any contract, commitment, indenture, lease or other agreement to which such Stockholder the Company is a party or by which such Stockholder it or any of its assets is bound.
