Common use of Absence of Violation Clause in Contracts

Absence of Violation. The execution, delivery and performance by such Stockholder of this Purchase Agreement and all other Documents contemplated hereby to which such Stockholder is a party, the fulfillment of and the compliance with the respective terms and provisions hereof and thereof, and the consummation of the transactions contemplated hereby and thereby, do not and will not (a) conflict with, or violate any provision of, any Laws having applicability to such Stockholder; or (b) conflict with, or result in any breach of, or constitute a default under, any Agreement to which such Stockholder is a party.

Absence of Violation. The execution, delivery and performance by such Company Stockholder of this Purchase Merger Agreement and all other Documents documents and Agreements contemplated hereby to which such Company Stockholder is a party, the fulfillment of and the compliance with the respective terms and provisions hereof and thereof, and the consummation of the transactions contemplated hereby and thereby, do not and will not (a) conflict with, or violate any provision of, any Laws having applicability to such Company Stockholder; or (b) conflict with, or result in any breach of, or constitute a default under, any Agreement to which such Company Stockholder is a party.

The execution, delivery and performance by such the Stockholder of this Purchase Agreement and all other Documents documents, instruments, certificates and agreements contemplated hereby to which such the Stockholder is a party, the fulfillment of and the compliance with the respective terms and provisions hereof and thereof, and the consummation of the transactions contemplated hereby and thereby, do not and will not (a) conflict with, or violate any provision of, any Laws having applicability to such the Stockholder; or (b) conflict with, or result in any breach of, or constitute a default under, any Agreement agreement to which such the Stockholder is a party.

Absence of Violation. (a) The execution, delivery and performance by such Stockholder of this Purchase Agreement and all other Documents contemplated hereby to which such Stockholder is a partyhereby, the fulfillment of and the compliance with the respective terms and provisions hereof and thereof, and the consummation of the transactions contemplated hereby and thereby, do not and will not (ai) conflict with, or violate any provision of, any Laws Law having applicability to such Company, any Company Subsidiary or Stockholder; or (bii) conflict with, or result in any breach of, or constitute a default under, any Agreement to which such Company, any Company Subsidiary or Stockholder is a party.
