Common use of Absence of Violation Clause in Contracts

Absence of Violation. The execution, delivery and performance by Buyer of this Agreement, the fulfillment of and the compliance with the respective terms and provisions hereof and thereof, and the consummation of the transactions contemplated hereby and thereby, do not and will not (a) conflict with, or violate any provision of, any Law having applicability to Buyer or (b) conflict with, or result in any breach of, or constitute a default under, any material agreement to which Buyer is a party or the charter or bylaws of Buyer.

Absence of Violation. The execution, delivery and performance by Buyer Seller of this Agreement, the fulfillment of and the compliance with the respective terms and provisions hereof and thereof, and the consummation of the transactions contemplated hereby and thereby, do not and will not (a) conflict with, or violate any provision of, any Law having applicability to Buyer Seller or (b) conflict with, or result in any breach of, or constitute a default under, any material agreement to which Buyer Seller is a party or the charter certificate of incorporation or bylaws of BuyerSeller.

Absence of Violation. The execution, delivery and performance by Buyer execution of this Agreement, Agreement by the fulfillment of Buyer and the compliance with the respective terms and provisions hereof and thereofperformance of its obligations hereunder do not, and the consummation of the transactions contemplated hereby and therebywill not, do not and will not (a) conflict with, or violate any provision of, any Law having applicability to Buyer or (b) conflict with, or result in any breach of, or constitute a default underbreach of any Law, any material agreement agreement, by-laws or other obligation to which the Buyer is a party or the charter or bylaws of Buyersubject.
