An Absolute Performance Goal clause sets a specific, non-relative target or standard that must be achieved, regardless of external factors or the performance of others. This clause typically outlines clear, measurable benchmarks—such as achieving a certain sales figure, production output, or project milestone—that are not influenced by industry averages or competitor results. Its core practical function is to establish unambiguous expectations and accountability, ensuring that performance is evaluated against a fixed standard rather than shifting comparisons.
Absolute Performance Goal. The average return on shareholders’ common equity for BB&T during the Performance Period determined in accordance with United States generally accepted accounting principles (“BB&T GAAP ROCE”) must be at least three percent (3%), and if less than three percent (3%) there will not be an Award payout.
Absolute Performance Goal. The average return on average shareholders’ tangible common equity for TFC during the Performance Period, as adjusted by TFC (“TFC ROATCE”), must be at least seven percent (7%), and if less than seven percent (7%) there will not be an Award payout.
