Acceleration of Vesting of Unvested Time-Based Restricted Stock Unit Awards. If You remain employed by jcpenney until Your Employment Termination Date all outstanding Time-Based Restricted Stock Unit (“TBRSU”) awards granted under the Equity Plan and the LTIP that are unvested and would, by the terms of the applicable TBRSU grant notice, be forfeited as of Your Employment Termination Date will fully vest on Your Employment Termination Date and be distributable to You in shares of Common Stock as provided in the terms of the applicable TBRSU grant notice.

  • Payment of Restricted Stock Units Payment of Restricted Stock Units that vest pursuant to this Section shall be made in Shares (or, if applicable, settlement in the same consideration paid to the stockholders of the Company pursuant to the Change in Control), as soon as practicable following the applicable vesting date. The Company retains the right to provide for earlier issuance of Shares in settlement of the Restricted Stock Units to the extent permitted by Section 409A of the Code.
