Common use of Acceleration Upon Change in Control Clause in Contracts

Acceleration Upon Change in Control. Subject to Section 9(a) above and so long as this Option has not terminated pursuant to Section 6(a) hereof, this Option shall become immediately fully exercisable immediately prior to the occurrence of any event that qualifies as a “Change in Control”, as defined in Section 9(b) of the Plan.

Acceleration Upon Change in Control. Subject to Section 9(a9(c) above and so long as this Option has not terminated pursuant to Section 6(a) hereofbelow, this Option shall become immediately fully exercisable immediately in the event that, prior to the occurrence termination of any event that qualifies as the Option pursuant to Section 6 hereof, and during the Optionee's Continuous Service, there is a “Change in Control”, as defined in Section 9(b) of the Plan.
