Acceptance and Assumption by Assignee. Assignee hereby accepts said Assignment and irrevocably assumes and agrees to keep, perform and be bound by all of the terms, covenants, conditions and obligations that are required to be performed by Assignor under the Management Agreement from and after the effective date hereof.
