Acceptance and Assumption of UpstreamCo Liabilities. On or prior to the Operational Separation Date, UpstreamCo and the applicable UpstreamCo Designees shall, except as otherwise expressly provided herein, accept, assume and agree to faithfully perform, discharge and fulfill all of the following Liabilities in accordance with their respective terms (each of which shall be considered an UpstreamCo Liability):
