Acceptance and Rejection of Submitted Bids and Submitted Sell Orders and Allocation of Shares. Based on the determinations made under "Determination of Sufficient Clearing Bids, Winning Bid Rate and Applicable Rate" above and subject to the discretion of the Auction Agent to round off a fraction of a share being sold or purchased as described below, Submitted Bids and Submitted Sell Orders shall be accepted or rejected in the order of priority set forth in the Auction Procedures with the result that the Existing Holders and Potential Holders of Preferred Shares shall sell, continue to hold and/or purchase Preferred Shares as set forth below. Existing Holders that submitted or were deemed to have submitted Hold Orders shall continue to hold the Preferred Shares subject to such Hold Orders. If Sufficient Clearing Bids have been made:
