Acceptance Inspection. 1. MSD shall, immediately after its receipt of the delivered Product, confirm the quantity and packaging condition. If deemed necessary by MSD or Supplier, an acceptance inspection shall be conducted in accordance with the inspection method and inspection standards previously prescribed by MSD and Supplier through mutual consultation, and MSD shall notify Supplier of the results thereof without delay. 2. If MSD discovers anything not conforming to the terms of the Individual Agreement regarding the quality or quantity of the Product (the “Non-Conforming Item”) as a result of the confirmation of the quantity or packaging condition referenced in the preceding Paragraph or the acceptance inspection referenced in the preceding Paragraph, Supplier shall deliver the missing or replacement Product, repair the Product containing Non-Conforming Item (the “Substandard Product”), or take other measures in compliance with MSD’s instructions within the period separately specified by MSD, and MSD shall inspect or re-inspect the Product so delivered or repaired. 3. In the event, despite MSD’s instructions referenced in the preceding Paragraph, Supplier fails to deliver the missing or replacement Product or repair the Substandard Product within the period specified by MSD, or in the event that the reason for the Substandard Product is based on a minor defect and it is recognized that the Substandard Product can be used through MSD innovations, MSD may specially adopt and receive the Substandard Product as a special exception limited to this Substandard Product, conditionally upon the reduction of the purchase price amount in accordance with the degree of the non-conformity. 4. If MSD requests that Supplier retrieve the Substandard Product, Supplier shall retrieve the Substandard Product within the period separately prescribed by MSD; during such period, MSD shall keep custody of the Substandard Product with the care of a good manager. 5. Upon the expiration of the period referenced in the preceding Paragraph, MSD shall have the right to return the Substandard Product to Supplier, or dispose of the Substandard Product with Supplier’s consent. In such event, Supplier shall pay the cost and expenses incurred in connection with such return or disposal. 6. Nothing in this Article shall prejudice MSD’s right to claim damage compensations from Supplier.

An acceptance inspection is completed to determine insurance eligibility by: i. determining the viability and number of Producing Hives; ii. determining whether Producing Hives are strong and able to produce honey at a normal level; iii. verifying when splitting of the colony was done; and iv. determining and recording insurable or uninsurable problems that may cause a loss.
Acceptance Inspection. All goods shall be received subject to Buyer inspection, testing, approval, and acceptance, notwithstanding any prior payment for such goods. The Contractor will be notified within the time frame if the services delivered are not in full compliance with the specifications. Acceptance Inspection. The basis for acceptance of the Products on this order shall be full conformance to the drawings, specifications and test criteria as stated on Netr▇'▇ ▇▇▇umentation provided to Supplier. Supplier will satisfactorily meet a minimum of IPC610 Class II quality standard for all Products. Netr▇ ▇▇ its customers may elect to source inspect Products and/or test data and results before delivery from Supplier. Netr▇ ▇▇▇t accompany Netr▇ ▇▇▇tomers while at Supplier's facilities. Supplier will provide reasonable space for the source inspector. Supplier will provide Netr▇ ▇▇▇e (5) working days advance notice of Product availability for source inspection and Netr▇ ▇▇▇ees to source inspect said Products within five (5) working days after such notification. When Netr▇ ▇▇▇cts to perform source inspection at Supplier's facility, final acceptance shall occur at the time of source inspector's acceptance of Product, provided however, that the mere review by Netr▇ ▇▇ performance data, test results and manufacturing processes and consultation with Supplier's employees by Netr▇ ▇▇▇arding such information shall not be deemed to be a Source Inspection hereunder. Netr▇ ▇▇▇ elect to inspect delivered Products one hundred per cent (100%) or on a sampling basis. Any lot failing to meet the mutually agreed upon sample inspection lot rejection criteria may be returned to Supplier for one hundred per cent (100%) inspection, at Supplier's expense, if so desired by Netr▇. ▇▇tr▇ ▇▇▇l notify Supplier of rejection of any Products in writing within two (2) working days after rejection. Supplier may elect to have the Products returned to them for evaluation, or with Netr▇'▇ ▇▇▇currence, have Netr▇ ▇▇▇air the Product at Supplier's pre-approved cost. Any Products returned to Supplier shall be handled per Supplier's Returned Material Authorization procedure. Products returned to Supplier for evaluation and/or repair shall be repaired or replaced by Supplier within ten (10) working days of receipt unless required by Netr▇ ▇▇ meet Netr▇'▇ ▇▇▇thly shipment commitments. In that event, the Supplier will utilize available resources, including finished goods inventory, overtime labor, etc. to expedite and complete the timely delivery of Products at Supplier's expense.
Acceptance Inspection. Buyer hereby issues Technical Acceptance of the Engine in accordance with the terms and conditions of this Agreement, and Buyer’s delivery on the Closing Date of the Acceptance Certificate will evidence Buyer’s acceptance of Delivery of the Engine in accordance with the terms and conditions of such Acceptance Certificate and of this Agreement.
