Acceptance of Appointment; Survival of Immunities. By his, her or its signature to this Agreement, the initial Agent xxxxxx accepts the appointment contained in this Agreement, as confirmed and extended by this Agreement, and agrees to act as Agent and to discharge the duties and responsibilities of the Agent pursuant to the terms of this Agreement. All of the immunities and rights to indemnification granted to the Agent Group under this Agreement shall survive (i) the resignation or removal of Agent or any member of the Agent Group, and (ii) the Closing and/or any termination of this Agreement.
