Acceptance of the 2007 Whitehall Jewelers. Inc. Stock Incentive Plan. As of the Effective Time, Parent shall assume the 2007 Whitehall Jewelers, Inc. Stock Incentive Plan (the "Plan") and all awards granted thereunder and the compensation committee of the board of directors of Parent shall administer the Plan and all awards granted thereunder in accordance with their respective terms.
