Common use of Acceptance / Rejection of Subscription Clause in Contracts

Acceptance / Rejection of Subscription. Acceptance of the Subscription shall be evidenced by the execution of this Agreement by the Company. The Investor hereby acknowledges and agrees that the Company reserves the right to reject the Subscription evidenced by this Agreement in whole or in part for any reason whatsoever prior to the Subscription Closing. In the event that the Subscription is rejected by the Company, the Subscription shall become null and void and the Investor shall have no further obligations to the Company, other than the obligations of confidentiality as set forth herein. Until a duly executed copy of this Agreement is delivered by the Company to the Investor, the Investor shall have no obligations under this Agreement. The date on which the Company executes and delivers this Agreement to the Investor shall be referred to herein as the “Subscription Closing.”
