Acceptance Tests and Procedures Sample Clauses
Acceptance Tests and Procedures. (i) No later than ***** days before the Scheduled Delivery Date, the parties shall seek to agree:
(A) the procedures to be used for the transfer of LNG from each LNG Carrier to the FSRU, including procedures for the cooling of the storage tanks of the FSRU (the “LNG Transfer Procedure”);
(B) the procedures for the cooling and starting-up of the Regasification Equipment;
(C) the specifications of LNG Carriers (including physical characteristics and requirements in relation to classification and insurance coverage) that are compatible with the FSRU, as determined by the compatibility study prepared or procured by Owner (the “LNGC Compatibility Requirements”); and
(D) the Acceptance Tests and the procedures for performing them in accordance with the Delivery Protocol, failing agreement of each of which the matter shall be referred to an Expert for resolution in accordance with Good Industry Practice.
(ii) Owner shall use best endeavours to provide preliminary information regarding the tests, specifications and procedures referred to in Clause 2.6(c)(i) above as soon as practicable following signing of this agreement but shall in any event provide Company with first-drafts of such tests, specifications and procedures before the ***** day before the Scheduled Delivery Date.
Acceptance Tests and Procedures. Subject to the terms and conditions of the Service Agreement (in substantially the form attached as Exhibit F), the JVC agrees and undertakes to design, build, manage, and operate the Facilities to be able to provide the Services and to meet the Operational Performance Criteria in accordance with:
(a) all Applicable Laws;
(b) all applicable Government Authorizations;
(c) Prudent Utility Practices; and
(d) requirements of any insurance policies specified in Clause 15 (Insurance Obligations) of the Service Agreement.
Acceptance Tests and Procedures i. No later than 180 (one hundred eighty) days before the Scheduled Acceptance Date, the Parties shall seek to agree the Acceptance Tests and the procedures for performing them in accordance with the Acceptance Protocol, failing agreement of each of which the matter shall be referred to an Expert for resolution in accordance with Good Industry Practice.
ii. Pipeline Company shall use best endeavors to provide preliminary information regarding the tests, specifications and procedures referred to in Clause 2.6(b)(i) above as soon as practicable following signing of this PS Agreement but shall in any event provide CPC with first-drafts of protocol for such tests, specifications and procedures, 120 (one hundred twenty) days before the Scheduled Acceptance Date.
