Common use of Accepted Claims Clause in Contracts

Accepted Claims. If Seller shall dispute such claim (or a portion thereof) (a “Disputed Claim”), it shall give written notice of such objection to the Escrow Agent and Purchaser at any time within ten (10) business days after Purchaser’s Notice of Claim (a “Dispute Notice”). If Seller fails to give a Dispute Notice within such time period, Seller shall be deemed to have approved the claim as a valid claim in the full amount thereof (an “Accepted Claim”). All such notices shall be delivered as provided in Section 11 hereof.
