Access and Availability. Subscriber is responsible for providing all equipment and the connectivity necessary to access and use Cloud Offerings via the Internet. Subscriber agrees that from time to time the Cloud Offerings may be inaccessible or inoperable for various reasons, including without limitation (i) system malfunctions; (ii) periodic maintenance procedures or repairs which Bentley or its service provider(s) may undertake from time to time; (iii) compatibility issues with Subscriber’s or a third party’s hardware or software; or (iv) causes beyond the control of Bentley or which are not reasonably foreseeable by Bentley, including network or device failure, interruption or failure of telecommunication or digital transmission links, hostile network attacks or network congestion or other failures (collectively “Downtime”). Xxxxxxx shall use reasonable efforts to provide advance notice to Subscriber in the event of any scheduled Downtime, and to minimize any disruption of the Cloud Offerings in connection with Downtime.
Access and Availability. Practice and each Participating Physician agree to HMHP standards of access and availability, as set by the HMHP Board which shall include
(i) making Covered Services available to Enrollees during normal business hours, and
(ii) being available, directly or through a coverage arrangement, to provide emergency Covered Services on a twenty-four (24) hour, seven (7) day per week basis.

But if access is suspended or interrupted or a defect occurs that prevents access, Duke University Press’s liability shall be limited to using all reasonable efforts to restore access as soon as is practicable.

Licensees will have access to back content not previously purchased by the Licensees with a current subscription only. During the Pre-Closing Period, Seller shall (a) afford Purchaser and its Representatives reasonable access to, during normal business hours, and if reasonably requested by Purchaser, evenings and week-ends, in a manner so as not to interfere with the normal business operations and upon reasonable prior written notice, the properties, Contracts, books and records and other documents and data pertaining to Seller, the Business, the Assumed Liabilities and the operation of the Transferred Assets, and (b) furnish Purchaser and its Representatives with such additional financial, operating and other data and information as they may reasonably request.

Subscriber agrees that from time to time the Cloud Services may be inaccessible or inoperable for various reasons, including without limitation (i) system malfunctions; (ii) periodic maintenance procedures or repairs which Cohesive or its service provider(s) may undertake from time to time; (iii) compatibility issues with Subscriber’s or a third party’s hardware or software; or (iv) causes beyond the control of Cohesive or which are not reasonably foreseeable by Cohesive, including network or device failure, interruption or failure of telecommunication or digital transmission links, hostile network attacks or network congestion or other failures (collectively “Downtime”). Cohesive shall use reasonable efforts to provide advance notice to Subscriber in the event of any scheduled Downtime, and to minimize any disruption of the Cloud Services in connection with Downtime.

Licensees will have access to all back content not previously purchased if they have a current subscription, and if they have subscribed for the two previous consecutive years. Since Xxxxxxx publications were not available online until 2013, subscribers prior to 2013 will not have online access to previous back content unless they purchase a 2013 subscription. Xxxxxxx Publishing Company, Inc., either directly or through a contractor, shall use all reasonable endeavors to make access available on a 24-hour basis. But if access is suspended or interrupted or a defect occurs that prevents access, Xxxxxxx Publishing Company, Inc.’s liability shall be limited to using all reasonable efforts to restore access as soon as is reasonably practicable
Access and Availability. 10.1. We agree to use commercially reasonable endeavours to ensure the Subscription Services are available and accessible during the Term.
10.2. During the Term, from time to time, we may perform scheduled and emergency maintenance and updates in relation to the Subscription Services. You agree that access to, or the functionality of all or part of the Subscription Services, may need to be suspended for a time in order for us to do this.
10.3. We will endeavour to provide you with reasonable notice, where possible, of any interruptions to access and availability of the Subscription Services.

Client agrees that from time to time the Hosting Services may be inaccessible or inoperable for various reasons, including without limitation (a) system malfunctions; (b) periodic maintenance procedures or repairs which Cohesive or its service provider(s) may undertake from time to time; (c) compatibility issues with Client’s or a third party’s hardware or software; or (d) causes beyond the control of Cohesive or which are not reasonably foreseeable by Cohesive, including network or device failure, interruption or failure of telecommunication or digital transmission links, hostile network attacks or network congestion or other failures (collectively “Downtime”). Cohesive shall use reasonable efforts to provide advance notice to Client in the event of any scheduled Downtime, and to minimize any disruption of the Hosting Services in connection with Downtime.
