Prohibition on Hiring. Subscriber shall not solicit for employment or hire any Bentley employees providing professional services directly or indirectly hereunder for the duration of the Work, plus a period of one (1) year after completion of the professional services provided hereunder. This Section 2.17 does not apply if an employee responds to a publicly available advertisement for recruitment listed by Subscriber, if Subscriber does not otherwise solicit the employee for the position.
Prohibition on Hiring. Neither party shall, during the term of the Strategic Alliance and for a period of one (1) year thereafter, hire or solicit any person who was employed by the other party or its Affiliates during such period, whether such person is hired as an employee or consultant, unless authorized in writing by the other party, or unless such person has not been employed by the other party for at least 12 months prior to his or her hiring or solicitation. Notwithstanding the foregoing, neither party shall be restricted from hiring an applicant for a position who has responded to an advertisement directed to the public without any direct contact from the hiring party.
Prohibition on Hiring. Either during any Ricoh Personnel’s assignment to Customer or within six (6) months after the completion of such an assignment, Customer shall not hire or otherwise employ any Personnel in any manner whatsoever to perform services similar to those Services provided to Customer hereunder or have any Personnel provide such services through a third party. Publicly advertised employment does not apply to this provision.

Neither PIONEER nor its Affiliates shall, during the Research Term, but in any event for at least five (5) years from the Effective Date, hire any person who was employed by CURAGEN or its Affiliates during such period, whether such person is hired as an employee, investigator, independent contractor or otherwise, without the express written consent of CURAGEN.

Neither Party nor its Affiliates shall, during the term of the Collaboration Program, but in any event for at least [***] years from the Effective Date, hire any person who was employed by the other Party or its Affiliates during such period, whether such person is hired as an employee, investigator, independent contractor or otherwise; provided that a person who was employed by a Party or its Affiliates as a consultant or independent contractor may be employed as a consultant or independent contractor by the other Party or its Affiliates to perform services in furtherance of the Collaboration Program or for activities unrelated to the collaboration contemplated by this Agreement.

Neither WYETH-AYERST nor its Affiliates shall, without CHEMGENICS' prior written approval, during the R & D Program, but in any event for at least five (5) years from the Effective Date, solicit (directly or indirectly) or hire any person who was employed by CHEMGENICS or its Affiliates, whether such person is hired as an employee, investigator, independent contractor or otherwise, without the express written consent of CHEMGENICS. This restriction shall not apply to any CHEMGENICS employee who did not participate in the R&D Program and who actively seeks employment with WYETH-AYERST and initiates contact with WYETH- AYERST regarding same.

Prohibition on Hiring. During the Team of the Project and for a period of two years thereafter, neither PRI nor any of its Affiliates, nor PE and ACLARA or any of their respective Affiliates shall, without the employer Party's express written consent, solicit directly or indirectly or hire any person who is or within six months of the date of any solicitation or hiring was an employee of PRI, PE or ACLARA, as the case may be, whether such person is solicited or sought to be hired as an employee, investigator, independent contractor or otherwise.
Prohibition on Hiring. For a period of *** after the Effective Date, Service Provider and its Subcontractors shall not employ, offer to employ, or contract with any Affected Employee who rejected a comparable job offer from Service Provider pursuant to this Agreement, where such employment offer or contract is directly or indirectly made by or on behalf of Service Provider’s personnel on the Allegheny account, or with the knowledge of such Service Provider personnel.
Prohibition on Hiring. Lit’s employees are a critical asset of its business and Lit places significant value on its team members, including any employees who may be assigned to work on the engagement with Navigator Schools. Accordingly, Navigator Schools agrees that neither it nor any of its parents, subsidiaries, employees, or other representatives shall offer employment to any Lit employee during this engagement or within one year following the conclusion of this engagement. Should Navigator Schools or any of its parents, subsidiaries, employees, or other representatives hire a Lit employee during this engagement or within one year following the conclusion of this engagement, Navigator Schools agrees to pay Lit a fee equal to 100% of the employee’s annual compensation most recently paid by Lit, which fee Navigator Schools agrees constitutes reasonable compensation to Lit for the loss of its employee’s services and which amount Navigator Schools acknowledges does not constitute a penalty.
