Access and Use. 1. Each Party shall ensure that any service supplier of the other Party is accorded access to and use of public telecommunications transport networks and services in a timely fashion, on transparent, reasonable and nondiscriminatory terms and conditions. This obligation shall be applied, inter alia, through paragraphs 2 through 6. 2. Each Party shall ensure that service suppliers of the other Party have access to and use of any public telecommunications transport network or service offered within or across the border of that Party, including private leased circuits, and to this end shall ensure, subject to the provisions of paragraphs 5 and 6, that such suppliers are permitted: (a) to purchase or lease and attach terminal or other equipment which interfaces with the network and which is necessary to supply their services; (b) to interconnect private leased or owned circuits with public telecommunications transport networks and services or with circuits leased or owned by other service suppliers; (c) to use operating protocols of their choice in the supply of any service, other than as necessary to ensure the availability of telecommunications transport networks and services to the public generally; and (d) to perform switching, signaling and processing functions.
3. Each Party shall ensure that service suppliers of the other Party may use public telecommunications transport networks and services for the movement of information

Notwithstanding the provisions of paragraph 3, a Party may take such measures as are necessary: (a) to ensure the security and confidentiality of messages; or (b) to protect the personal data of users of public telecommunications transport networks or services, subject to the requirement that such measures are not applied in a manner which would constitute a means of arbitrary or unjustifiable discrimination or a disguised restriction on trade in services. 5. Each Party shall ensure that no condition is imposed on access to and use of public telecommunications transport networks and services other than as necessary: (a) to safeguard the public service responsibilities of suppliers of public telecommunications transport networks and services, in particular their ability to make their networks or services available to the public generally; or (b) to protect the technical integrity of public telecommunications transport networks or services.
Access and Use. Grantee agrees to license or otherwise make available to MassCEC in perpetuity, without charge, Xxxxxxx’s interest in and copyright (if any) to all non-confidential materials prepared and produced in relation to the Project, including, without limitation, all plans, specifications, and analyses developed in connection with the Project and specified as being for MassCEC’s use and public dissemination; provided, however, that any and all inventions that are conceived or first reduced to use during the course of the Project shall be the sole property of Grantee (except that if jointly invented, title shall flow in accordance with United States patent law), and any licensing requests for such inventions shall be subject to good faith negotiations between the Parties.
Access and Use. Access to the content shall be provided as described in section F: PRODUCTS provided that the Customer pays all Product Fees due under the Agreement and this Exhibit. This Exhibit shall commence upon invoicing of the Purchase Fee (as defined in Schedule 2) and shall remain in effect for the term stated in Section G: FEES (“Assessment Term”). Notwithstanding the foregoing, the Assessment Term will be followed by a Purchase Term provided that, within ninety (90) days of the expiration date of the Assessment Term, the Parties have agreed to a written document to this Exhibit, which will itemize the titles selected by Customer. For the Assessment Term, SAGE grants to Customer use of the Product, and the right to provide the Product to Authorized Users in accordance with the Agreement and this Exhibit’s terms and conditions. For any titles converted to a Purchase, SAGE grants to Customer access to and use of the Product, and the right to provide the Product to Authorized Users in accordance with the Agreement and this Exhibit’s terms and conditions. The License granted herein shall be extended to the Authorized Users of Customer. The Product(s) may be networked to the agreed registered IP address(es) as listed in Schedule 1, attached hereto and incorporated herein by this reference, throughout the geographic areas of Customer as applicable, and may also be made available remotely to Authorized Users through secure access procedures established by Customer. For as long as SAGE provides a service of hosting the Product(s), and subject to payment by Customer of all Fees due under the Agreement and this Exhibit, the Customer and Authorized Users shall have unlimited access to the Product(s), 24 hours/day, seven days/week subject to the terms of the Agreement and this Exhibit. Notwithstanding the foregoing, SAGE reserves the right to interrupt the Hosting Service without prior notice to resolve any technical issues that may arise at any time as determined in SAGE’s sole and absolute discretion. Notwithstanding anything herein to the contrary, upon expiration or termination of this Exhibit, Customer’s right to access and use the Product(s) on the SAGE platform as set forth herein shall immediately cease. SAGE may cancel this Agreement if Customer violates any of the terms and conditions set forth herein.
Access and Use. To the extent Software is provided as a part of the Solution, such Software is provided subject to the following terms:
Access and Use. Members and Authorized Users may access and use the Licensed Materials via Secure Networks in order to search, retrieve, download, display, print, save, and view the Licensed Materials.

You may access and use the Service Offering only: (a) during the Subscription Term; (b) for Your internal business purposes (which may include providing services to Your End Users if permitted in the Service Offering Description); and (c) in accordance with the Agreement. You may stop using a Service Offering at any time, but You will remain liable for all fees and charges otherwise due during the applicable Subscription Term.
Access and Use. Verizon will protect the confidentiality of Xxxxxxxx CPNI in accordance with applicable X.X. xxxx, rules and regulations. Verizon may access, use, and disclose Customer CPNI as permitted or required by applicable laws, rules, and regulations or the USSA.

OTC Markets Group shall issue preliminary user names and passwords to the Company to enable the Company to access OTCIQ and post Content subject to the terms of this Agreement, which OTC Markets Group shall review in making its determination on whether to designate the Company’s securities as traded on the OTCQB marketplace. As soon as practicable after the execution and delivery of this Agreement, OTC Markets Group will deliver to the Company, for purposes of posting and updating the Content provided by the Company and use of the OTCQB Marketplace Services (a) the account designations and initial passwords requested by the Company on this Agreement, (b) instructions, and, (c) to the extent deemed necessary, in the sole and absolute discretion of OTC Markets Group, other security related codes (collectively, “Company Credentials”). OTC Markets Group may refuse to grant a user name that impersonates someone else, is or may be illegal, is or may be protected by trademark or other proprietary rights law, is vulgar or otherwise offensive, or may cause confusion, as determined by OTC Markets Group in its sole discretion. The Company must obtain at its own expense (i) access to the Internet and (ii) any workstations, software, network connectivity, and other equipment and services that may be required, or that may require updating, from time to time to access the OTCQB Marketplace Services and the Information, in each case, compatible with OTCIQ through the use of the Company Credentials. The Company shall have complete and absolute responsibility, and the Company understands and agrees that OTC Markets Group will have no responsibility or liability whatsoever, except for gross negligence or willful misconduct, for any misuse of the Company Credentials, whether through theft, misappropriation, deceit, Company employee misconduct, negligence, inadvertence or otherwise. The Company will cooperate with OTC Markets Group, including without limitation, by making reports to appropriate law enforcement authorities as, if and when requested by OTC Markets Group, to prevent and deter misuse of the Company Credentials, and will comply with reasonable security and other procedures distributed by OTC Markets Group from time to time. Access and Use. 1. Each Party shall ensure that enterprises of the other Party have access to and use of any public telecommunications network or service, including leased circuits, offered in its territory or across its borders on a timely basis and on terms and conditions that are reasonable and non-discriminatory such as those set out in paragraphs 2 to 6.
2. Each Party shall ensure that such enterprises are permitted to:
(a) purchase or lease, and attach terminal or other equipment that interfaces with, a public telecommunications network;
(b) provide services to individual or multiple end-users over leased or owned circuits;
(c) connect owned or leased circuits with public telecommunications networks and services in the territory, or across the borders, of that Party, or with circuits leased or owned by another enterprise;
(d) perform switching, signaling, processing, and conversion functions; and
(e) use operating protocols of their choice.
3. Each Party shall ensure that enterprises of the other Party may use public telecommunications networks and services for the movement of information in its territory or across its borders and for access to information contained in databases or otherwise stored in machine-readable form in the territory of either Party or any WTO Member.
4. Notwithstanding paragraph 3, a Party may take such measures as are necessary to:
(a) ensure the security and confidentiality of messages; or
(b) protect the privacy of personal data of end users of public telecommunications networks or services, subject to the requirement that such measures are not applied in a manner that would constitute a means of arbitrary or unjustifiable discrimination or a disguised restriction on trade in services.
5. Each Party shall ensure that no condition is imposed on access to and use of public telecommunications networks or services, other than as necessary to:
(a) safeguard the public service responsibilities of suppliers of public telecommunications networks or services, in particular their ability to make their networks or services available to the public generally; or
(b) protect the technical integrity of public telecommunications networks or services.
6. Provided that they satisfy the criteria set out in paragraph 5, conditions for access to and use of public telecommunications networks and services may include:
(a) a requirement to use specified technical interfaces, including interface protocols, for inter-connection with such networks and services;

We grant You a non-exclusive, non-transferable revocable authorization to remotely access and use the software as a service offering identified in Schedule A (the “Services”) and, unless prohibited by law, We will provide access to any persons You designate for use as described in these terms and conditions. For clarification, We authorize access and use on a “one user per one authorization basis” and once granted, You are not allowed to transfer authorizations to other users.
