Common use of Access Prior to the Closing Clause in Contracts

Access Prior to the Closing. Between the date of this Agreement and the Closing, the Seller and the Company shall (i) give the Buyer and its representatives and agents full and com­plete access to all properties, personnel, facilities and offices of the Company and to all the Records of the Company (and permit the Buyer to make copies thereof), (ii) permit the Buyer and its representative and agents to make inspections thereof, and (iii) cause the officers and employees of, and consultants to, the Company to furnish the Buyer with all financial information and operating data and other information with respect to the business and prop­erties of the Company and to discuss with the Buyer and its representatives the affairs of the Company.
