Common use of Access Rights for use or exploitation Clause in Contracts

Access Rights for use or exploitation. Each Party shall have the right to request Access Rights to the other Party’s Background and/or Foreground in addition to the Access Rights granted under Section 9.3: (i) if without the Access Rights the use of a Party’s own or jointly owned Foreground would be technically or legally impossible or (ii) for the commercial exploitation of a Party’s (or that other Party’s) own or jointly owned Foreground. A request for Access Rights shall be made in writing ultimately within six (6) months after expiration or termination of this Consortium Agreement. The granting of Access Rights will be at a Party’s own discretion and may be made conditional on the acceptance of specific conditions aiming at ensuring that these rights will be used only for the intended purpose and that appropriate confidentiality obligations are in place. Any Access Rights under this Section 9.4 shall be granted on fair and reasonable market conform conditions. Each Party hereby grants to the other Party the royalty free right to use its Foreground for internal and/or non-commercial research and education purposes.
