Common use of Access to Accountants Clause in Contracts

Access to Accountants. Each Borrower Party hereby authorizes the Administrative Agent to communicate directly with the Borrower Parties’ and their Subsidiaries’ independent public accountants and authorizes these accountants to disclose to the Administrative Agent any and all financial statements and other supporting financial data, including matters relating to the annual audit and copies of any management letter with respect to its business, financial condition and other affairs. On or before the Agreement Date, the Administrative Borrower, on behalf of all of the Borrower Parties, shall deliver to their independent public accountants a letter authorizing them to comply with the provisions of this Section 7.4.

Each Borrower Credit Party hereby authorizes the Administrative Agent Agent, upon prior notice to the Administrative Borrower, in the exercise of its Permitted Discretion to communicate directly with the Borrower senior audit partner of the Credit Parties’ and their Subsidiaries’ independent public accountants and authorizes these accountants to disclose to the Administrative Agent any and all financial statements and other supporting financial data, including matters relating which relate to the annual audit and copies of any management letter with respect to its business, financial condition and other affairsletter. On or before the Agreement Date, the Administrative Borrower, on behalf of all of the Borrower Parties, Credit Parties shall deliver to their independent public accountants a letter authorizing them to comply with the provisions of this Section 7.4.
