Common use of Access to Accountants Clause in Contracts

Access to Accountants. Each Borrower Party hereby authorizes the Administrative Agent to communicate directly with the Borrower Parties’ and their Subsidiaries’ independent public accountants and authorizes these accountants to disclose to the Administrative Agent any and all financial statements and other supporting financial data, including matters relating to the annual audit and copies of any management letter with respect to its business, financial condition and other affairs. The Administrative Agent will give the Borrower Parties the opportunity to participate in any discussions with the Borrower Parties’ accountants.

Access to Accountants. Each Borrower Party hereby authorizes the Administrative Agent to communicate directly with the such Borrower Parties’ Party’s and their its Restricted Subsidiaries’ independent public accountants and authorizes these accountants to disclose to the Administrative Agent any and all financial statements and other supporting financial dataaccountants; provided, including matters relating to the annual audit and copies that a representative of any management letter with respect to its business, financial condition and other affairs. The Administrative Agent will give the Borrower Parties shall be given the opportunity to participate in any discussions with “in person” or telephonic communications between the Administrative Agent and such accountants and the Borrower Parties’ Parties shall receive copies of any written communication between the Administrative Agent and such accountants.

Each Borrower Credit Party hereby authorizes the Administrative Agent to communicate directly with the Borrower Credit Parties’ and their Subsidiaries’ independent public accountants and authorizes these accountants to disclose to the Administrative Agent any and all financial statements and other supporting financial data, including matters relating to the annual audit and copies of any management letter with respect to its business, financial condition and other affairs. The Administrative Agent will give the Borrower Parties the opportunity to participate in any discussions with the Borrower Parties’ accountants.
