Common use of Access to Books and Records After the Closing Date Clause in Contracts

Access to Books and Records After the Closing Date. For a period of two (2) years following the Closing Date, Seller agrees to maintain in a reasonably accessible place any books and records not delivered to Purchaser hereunder relating to the Business, to provide Purchaser and its representatives reasonable access to such books and records during normal business hours and to provide copies of such books and records to Purchaser or its representatives, at their expense. Seller agrees to notify Purchaser prior to disposing of any such books and records and, upon request made within sixty (60) days after receipt of such notice, to deliver such books and records to Purchaser at Purchaser's expense.
