Access to Books and Records AGC. and SELLERS will have full and free access to AGC's books and records during the course of this transaction prior to and at the Closing on reasonable notice. (m)TALLMAN Financial Statexxxxx Xt or before the Closing, TALLMAN and MANAGEMENT xxxx xxovide AGC with TALLMAN's audited finanxxxx xxxxements for the fiscal year ended September 30, 1998 which will be audited in accordance with GAAP by independent certified public accountants with SEC experience, and which comply with applicable Federal securities laws and regulations including Regulation S-X. There will have been no material change in the business, assets or condition (financial or otherwise) of TALLMAN since the date of such financial statements to the Closing.
