Access to Information; Experience Sample Clauses

Access to Information; Experience. Such Investor has been furnished with or has had access during the course of this transaction to all information necessary to enable such Investor to evaluate the merits and risks of an investment in the Corporation and such Investor has had an opportunity to discuss with representatives of the Corporation the business and financial affairs of the Corporation. Such Investor has conducted its own investigation and analysis of the business and its investment in the Shares and is not relying on the Corporation's business plan or any information or opinions contained therein in making its decision to purchase the Shares. Such Investor has substantial experience in evaluating and investing in private placement transactions of securities in companies similar to the Corporation such that the Investor is capable of evaluating the merits and the risks of its investment in the Corporation and has the capacity to protect such Investor's own interests in making this investment in the Corporation. Such Investor can afford to suffer a complete loss of its investment in the Shares.
Access to Information; Experience. Seller has been furnished with or has had access during the course of this transaction and prior to sale of the Shares to all information necessary to enable Seller to evaluate the merits and risks of a prospective investment in Buyer and Seller has had an opportunity to discuss with representatives of Buyer the business and financial affairs of Buyer and the terms and conditions of the investment and to obtain such additional information, to the extent that Buyer possesses such information or could acquire it without unreasonable effort or expense, necessary to verify the accuracy of the information to which Seller has had access and all questions raised by Seller have been answered to the full satisfaction of Seller. Seller has conducted his own investigation and analysis of Buyer’s business. Seller’s officers and directors have substantial experience in evaluating and investing in private placement transactions of securities in companies similar to Buyer so that Seller is capable of evaluating the merits and the risks of its investment in Buyer and has the capacity to protect its own interests in making its investment in Buyer. Seller can afford to suffer a complete loss of its investment in the Shares.

The Investor has substantial experience in evaluating and investing in private placement transactions of securities in companies similar to the Corporation so that it is capable of evaluating the merits and the risks of its investment in the Corporation and has the capacity to protect its own interests in making its investment in the Corporation. The Investor can afford to suffer a complete loss of its investment in the Common Shares.
Access to Information; Experience. The Learning Annex has had access during the course of this transaction and prior to the sale of the Shares to all information necessary to enable the Learning Annex to evaluate the merits and risks of accepting the Shares pursuant to the Agreement and the Learning Annex has had an opportunity to discuss with representatives of GHS the business and financial affairs of GHS and to obtain such additional information, to the extent that GHS possesses such information or could acquire it without unreasonable effort or expense, necessary to verify the accuracy of the information to which GHS has had access and all questions raised by the Learning Annex have been answered to its full satisfaction. The Learning Annex can afford to suffer a complete loss of its or his investment in the Shares.
Access to Information; Experience. The Purchaser has been furnished with or has had access during the course of this transaction and prior to sale of the Shares to all information necessary to enable the Purchaser to evaluate the merits and risks of a prospective investment in PeopleString, including, without limitation, the prospectus forming a part of PeopleString’s registration statement on Form S-1 (Registration No. 333-163290) and other filings of PeopleString on file with the Securities and Exchange Commission, and the Purchaser has had an opportunity to discuss with representatives of PeopleString the business and financial affairs of PeopleString and the terms and conditions of the investment and to obtain such additional information, to the extent that the Corporation possesses such information or could acquire it without unreasonable effort or expense, necessary to verify the accuracy of the information to which the Purchaser has had access and all questions raised by the Purchaser have been answered to the full satisfaction of the Purchaser. The Purchaser has conducted his, her or its own investigation and analysis of PeopleString’s business. The Purchaser has substantial experience in evaluating and investing in private placement transactions of securities in companies similar to PeopleString so that he, she or it is capable of evaluating the merits and the risks of his, her or its investment in PeopleString and has the capacity to protect his, her or its own interests in making his, her or its investment in PeopleString. The Purchaser can afford to suffer a complete loss of his, her or its investment in the Shares.
Access to Information; Experience. Such Noteholder has been furnished with or has had access during the course of this transaction to all information necessary to enable such Noteholder to evaluate the merits and risks of an investment in the Company and such Noteholder has had an opportunity to discuss with representatives of the Company the business and financial affairs of the Company. Such Noteholder has conducted its or his own investigation and analysis of the business and its or his investment in the Shares and is not relying on the Company's business plan or any information or opinions contained therein in making its or his decision to purchase the Shares. Such Noteholder has substantial experience in evaluating and investing in private placement transactions of securities in companies similar to the Company such that the Noteholder is capable of evaluating the merits and the risks of its or his investment in the Company and has the capacity to protect such Noteholder's own interests in making this investment in the Company. Such Noteholder can afford to suffer a complete loss of its or his investment in the Shares.
Access to Information; Experience. The Consultant has been furnished with or has had access during the course of this transaction and prior to the issuance of the Shares and the Warrants to all information necessary to enable the Consultant to evaluate the merits and risks of a prospective investment in the Company and the Consultant has had an opportunity to discuss with representatives of the Company the business and financial affairs of the Company and the terms and conditions of the investment and to obtain such additional information, to the extent that the Company possesses such information or could acquire it without unreasonable effort or expense, necessary to verify the accuracy of the information to which the Consultant has had access and all questions raised by the Consultant have been answered to the full satisfaction of the Consultant. The Consultant has conducted its own investigation and analysis of the Company's business. The Consultant has substantial experience in evaluating and investing in private placement transactions of securities in companies similar to the Company so that it is capable of evaluating the merits and the risks of its investment in the Company and has the capacity to protect its own interests in making its investment in the Company.

The Purchaser has substantial experience in evaluating and investing in private placement transactions of securities in companies similar to the Corporation so that it is capable of evaluating the merits and the risks of its investment in the Corporation and has the capacity to protect its own interests in making its investment in the Corporation. The Purchaser can afford to suffer a complete loss of the cash consideration paid in respect of its investment in the Preferred Shares and the Warrants.
