Common use of Access to Intellectual Property and Data Clause in Contracts

Access to Intellectual Property and Data. As set forth in any applicable Exhibit, and as otherwise requested from time to time by the Service Recipient, the Service Provider will promptly provide to the Service Recipient (and shall not withhold for any reason) copies of Work Product and data owned by the Service Recipient or to which it has a license in accordance with this Section 5.2. Such data shall be delivered in a mutually agreed to format (but in no event other than a generally available commercial format if the Parties are unable to agree on format). Service Recipient shall be responsible for the incremental actual costs of such deliveries, to the extent such costs are not already included in the cost for the associated Services.
