Access to Personal Data. 4.1 The Processor limits access to Personal Data for Employees, Sub-processors, Third Parties and other Recipients of Personal Data to a necessary minimum. 4.2 The Processor shall only provide access to those Employees for whom such access to Personal Data is necessary for the performance of the Agreement. The categories of Employees have been specified in Annex A . 4.3 The Processor shall not provide Sub-processors with access to Personal Data without the prior general or specific Written consent of the Controller. General permission In Writting for engaging Sub-processors has only been granted if this has explicitly been included in Annex A . Specific permission for the use of Sub-processors has only been granted to Sub-processors specified in Annex A . 4.4 The Sub-processors engaged by the Processor in the performance of the Agreement have been listed in Annex A. 4.5 The Processor shall inform the Controller in the event of general consent In Writing for engaging Sub- processors no later than three (3) months prior to intended changes regarding the addition, replacement or change of Sub-processors and the amendment to Annex A required as a result of this, In Writing, whereby the Controller shall be given the opportunity to object to these changes In Writing within one (1) month after the Controller has been informed by the Processor of the intended change. The parties will enter into negotiations on this matter. 4.6 The general or specific consent of the Controller for engaging Sub-processors shall not affect the obligations of the Processor arising from the Processing Agreement, including but not limited to Article 8. The Controller may revoke its general or specific Written consent for engaging Sub-processors if the Processor fails to comply or no longer complies with the obligations under the Processing Agreement, the GDPR and/or other applicable laws and regulations regarding the Processing of Personal Data. 4.7 The Processor shall impose the obligations set out in the Processing Agreement on the Sub-processors engaged by the Processor by means of a Written Agreement. 4.8 At the request of the Controller, the Processor shall provide evidence that the Processor, Sub-processors engaged by the Processor, the persons authorised to process the Personal Data and other Recipients of Personal Data comply with Article 4.7. 4.9 With regard to the Controller, the Processor shall remain fully responsible and fully liable for the fulfilment of the obligations by...

Access to Personal Data. From time to time, Customer may require Avaya to access a Supported Product containing Personal Data. Where Customer instructs Avaya to access any Personal Data, or to provide Customer or a third party identified by Customer with access, Customer will: (i) notify all relevant employees and other individuals of the fact that Avaya will have access to such Personal Data in accordance with Customer’s instructions, and (ii) indemnify Avaya and its officers, directors, employees, subcontractors and Affiliates against, and hold each of them harmless from, any and all liabilities, costs, damages, judgments and expenses (including reasonable attorneysfees and costs) arising out of Avaya accessing or providing access in accordance with Customer’s instructions.

A request shall be deemed to be reasonable to the extent it is made for purposes including (but not limited to) the following: (A) for the purpose of complying with statutory obligations, an order of any court of competent jurisdiction binding on the Personal Data Requester or a member of its Group or any requirement or request of a regulator to which a member of its Group is subject; (B) for the purpose of defending legal proceedings brought against any member of the Personal Data Requester’s Group, except for legal proceedings brought by Prudential, Xxxxxxx or a member of its Group, on one hand, against Xxxxxxx, Prudential or a member of its Group, on the other, in which case any data shall be requested through that legal proceeding; or (C) for the purpose of responding to any request from any insurance regulatory authority. 11.2 The Personal Data Provider shall provide any such Personal Data to the Personal Data Requester pursuant to a request under clause 11.1 in a manner consistent with, and to a standard, scope and timescale which are in all material respects equivalent to, those which the Personal Data Provider would apply to an equivalent request from its own Group. 11.3 The Personal Data Requester shall reimburse to the Personal Data Provider such reasonable Costs as the Personal Data Provider may incur in relation to the exercise of the rights in clause 11.1

(i) The Processor shall promptly inform the Controller of requests received by the Processor from data subjects exercising their rights under the Applicable Data Protection Legislation. (ii) The Processor shall assist the Controller with extracting, deleting, or performing any other operations on, the Personal Data, or, where possible, provide the Controller the ability to perform any of the aforementioned actions on the Personal Data. (iii) The Processor shall provide commercially reasonable and timely assistance to Controller, in accordance with the technical capabilities of each Service, to enable Controller to respond to: (i) any request from a data subject exercising its rights under the Applicable Data Protection Legislation; and (ii) any other enquiry or complaint received from a data subject or a Supervisory Authority in connection with the processing of the Personal Data.
