ADDITIONAL CUSTOMER RESPONSIBILITIES. 7.1 Unless otherwise specified in this Agreement or in a separate writing signed by both Customer and NCR Voyix, Customer shall be solely responsible for the following: (a) selection of the Products to achieve Customer's intended results; (b) evaluation of the Products relating to Customer's specific business requirements and technical environment; (c) the results obtained from use and operation of the Products; (d) providing and maintaining the appropriate operating environment for the Software, including related security and access controls, and maintaining back-up and disaster recovery procedures, facilities and equipment (if applicable); (e) adherence to any applicable electronic payment processing standards or requirements related to Customer’s operations; (f) all data entry and loading; (g) installing Upgrades provided by NCR Voyix and securely deleting previously stored information or data; (h) the content of all Customer information or data, the selection and implementation of controls on the access and use of such information or data, and the protection and back-up of the stored information or data; (i) the configuration of all required data parameters associated with use of the Software, and its operating environment, including security-related parameters; (j) compliance with all applicable city, state, and federal laws, rules or regulations affecting or governing Customer’s use of the Products or Customer information or data configuration parameters in the Software; (k) compliance with all rules, bylaws, programs, and regulations of the payment card networks in connection with Customer’s use of the Products, as applicable; and (l) providing adequate training on the use and operation of the Products to Customer’s employees and maintaining adequate supervision of such employees. Customer is solely responsible for reviewing any default or automated settings and configuring applicable settings to meet all legal, regulatory and other requirements applicable to Customer’s business. NCR Voyix shall have no liability in connection with such settings or configurations. Customer acknowledges that NCR Voyix does not provide legal, tax or accounting advice.
7.2 Customer will not use the Products to upload, post, or otherwise transmit any data: (a) that is deceptive, misleading, unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise obj...
ADDITIONAL CUSTOMER RESPONSIBILITIES. 33.1 The Customer shall be responsible for (i) Supplying a safe working environment and system of work at its work site; (ii) Treating the Engineer in no lesser way than it treats its own staff; and (iii) Complying with all applicable laws and regulations including those of the Maritime Labour Convention.
ADDITIONAL CUSTOMER RESPONSIBILITIES. Customer shall maintain, and promptly provide to Licensor upon its request, accurate User lists and other reasonably detailed records regarding Use of the Software by or for Customer. If Customer becomes aware of any unauthorized Use of all or any part of the Licensed Products, Customer shall notify Licensor promptly, providing reasonable details. Customer will remain responsible for any unauthorized Use of the Licensed Products by any individuals employed by, acting as authorized agents of or performing services for Customer or its Affiliates (including any of their respective service providers).
ADDITIONAL CUSTOMER RESPONSIBILITIES. (a) Customer is solely responsible for obtaining and maintaining all equipment, computers, mobile devices, and communications required to access and utilize the Igloo Platform and for all expenses related thereto.
(b) Customer is solely responsible to ensure that its Named Users use a supported release version of any applicable Igloo Applications. At any time during the Term, unless Igloo provides Customer with written notice otherwise, the two most recent release versions of an Igloo Application will be supported by Customer’s Igloo Environment.
(c) Customer will notify Igloo immediately of any actual or suspected unauthorized use of an Igloo Environment or any Accounts or other breach of security in relation to the Igloo Platform, Customer Data or the System of which Customer becomes aware.
ADDITIONAL CUSTOMER RESPONSIBILITIES. Customer shall maintain, and promptly provide to AccessData upon its request, accurate User lists and other reasonably detailed records regarding Use of the Licensed Products by or for Customer. If Customer becomes aware of any unauthorized Use of all or any part of the Licensed Products, Customer shall notify AccessData promptly, providing reasonable details. Customer will remain responsible for any unauthorized Use of the Licensed Products resulting from Customer’s access to such Products.
ADDITIONAL CUSTOMER RESPONSIBILITIES. Customer, not Oracle, is solely responsible for procuring, installing and maintaining the Terminals and any other peripheral point of sale components from third parties (including without limitation any Terminal computer hardware and software on which the POS Software is installed in the Store). Customer shall use appropriate measures to maintain the confidentiality, integrity, availability and security of the Terminal (other than the POS Software), Store Network and of all Store Data residing on the Store Network and transmitted to the NetSuite POS Module (including but not limited to: promptly applying patches and updates provided by Oracle and other Terminal software providers; full disk encryption; anti-virus; network, access, and physical controls). Customer shall not transmit or upload any credit card data or bank account numbers or other sensitive financial data of its customers through the NetSuite POS Module.
ADDITIONAL CUSTOMER RESPONSIBILITIES. Customer, not Oracle, is solely responsible for procuring, installing and maintaining the Client Devices, applicable card brand contracts, rules and regulations and any other peripheral point of sale components from third parties (including without limitation any operating system and platform on which the Client Devices run). Customer shall use appropriate measures to maintain the confidentiality, integrity, availability and security of the Client Devices, Store Network and of all Store Data residing on the Store Network and transmitted to the NetSuite SCIS Module (including but not limited to: following implementation recommendations provided in the Help Documentation, promptly applying patches and updates provided by Oracle and other Client Device software providers; full disk encryption; anti-virus; network, access, and physical controls).
ADDITIONAL CUSTOMER RESPONSIBILITIES. In return for the payment of applicable fees and subject to compliance with the terms of the SLSA, Avaya will provide the Support Services or Managed Services options selected by Customer for Supported Products at the Supported Sites set out in the applicable Order or SD (collectively “Services” in these OST).
ADDITIONAL CUSTOMER RESPONSIBILITIES. 5.1 Customer agrees that it will not use or permit the use of the Hosted Services to send unsolicited mass mailings outside its organization, it being understood that the term “unsolicited mass mailings” includes all statutory and other common definitions, including all 'commercial communications' as defined in the E-commerce Regulations 2003 and 'communications' and 'electronic mail' as defined in the Privacy and Electronic Communications (EC Directive) Regulations 2003 in the United Kingdom or any unsolicited commercial electronic marketing messages prohibited or regulated by the U.S. CAN SPAM Act or any analogous regulation worldwide.
5.2 Customer agrees that it is solely responsible for the nature and content of all materials, works, data, statements, and other visual, graphical, video, written or audible communications of any nature submitted by any Authorised User or otherwise Processed through Customer’s Account.
5.3 Customer further agrees not to use or permit the use of the Hosted Services: (a) to communicate any message or material that is defamatory, harassing, libelous, threatening, or obscene; (b) in a way that violates or infringes upon the intellectual property rights or the privacy or publicity rights of any person or entity or that may otherwise be unlawful or give rise to civil or criminal liability (other than contractual liability of the parties under eContracts Processed through the Hosted Services); (c) in any manner that is likely to damage, disable, overburden, or impair the System or the Hosted Services or interfere in any way with the use or enjoyment of the Hosted Services by others; or (d) in any way that constitutes or encourages conduct that could constitute a criminal offence. Although Apposite does not actively monitor the content processed through the Hosted Services, Apposite may at any time and without prior notice suspend any use of the Hosted Services and/or remove or disable any content as to which Apposite is made aware of a reason for concern as to such use or content. Apposite agrees to exert reasonable commercial efforts to provide Customer with notice of any such suspension or disablement before its implementation, or promptly thereafter.
5.4 Customer acknowledges and agrees that where use of the Hosted Services involves use of payment channel functionality such payment channel functionality is not provided by Apposite but by third party providers and where the Customer elects to use such payment channel functiona...
ADDITIONAL CUSTOMER RESPONSIBILITIES. Customer will enable and maintain AutoSupport for all Product covered under the SupportEdge Standard Offering and to maintain Product and site information as described in paragraph 3.1 of this Agreement.
