Access to the Product. The District’s authorized users will need valid usernames and passwords to access the Product. The District is responsible for the integrity and security of these usernames and passwords. The District will advise Curriculum Associates immediately if any of the District’s usernames and/or passwords have been compromised. Curriculum Associates will use commercially reasonable efforts to make the Product available to the District 24 hours a day, except for: (a) planned downtime, of which Curriculum Associates will give the District reasonable notice where possible, and which Curriculum Associates shall use reasonable efforts to schedule during the hours from 5:00 p.m. Eastern time to 7:00 a.m. Eastern time; or (b) any unavailability caused by circumstances beyond Curriculum Associate’s reasonable control, including without limitation, acts of God, acts of government, flood, fire, earthquakes, civil unrest, acts of terror, strikes or other labor problems, or Internet service provider failures or delays.
Access to the Product. 3.1 THE PRODUCT IS PROTECTED BY DIGITAL RIGHTS MANAGEMENT SOFTWARE (“DRM SOFTWARE”) AND DENUVO ANTI-TAMPER PROTECTION TECHNOLOGY (“ANTI-TAMPER TECHNOLOGY”). YOU HEREBY AGREE, ACKNOWLEDGE AND CONSENT TO THE FOLLOWING REGARDING THE DRM SOFTWARE: (I) THE INSTALLATION OF THE PRODUCT WILL CAUSE THE DRM SOFTWARE TO BE INSTALLED ON YOUR COMPUTER; (II) THE DRM SOFTWARE MAY LIMIT THE NUMBER OF INSTALLATIONS OF THE PRODUCT; (III) THE DRM SOFTWARE MAY INSTALL ON YOUR COMPUTER ADDITIONAL COMPONENTS REQUIRED FOR COPY PROTECTION; (IV) DURING THE INSTALLATION AND/OR THE FIRST LAUNCH OF THE PRODUCT, AN ONLINE CONNECTION MAY BE REQUIRED TO UNLOCK THE PRODUCT THROUGH THE DRM SOFTWARE AND (V) CERTAIN FILES OF THE ANTI-TAMPER TECHNOLOGY MAY REMAIN EVEN AFTER THE PRODUCT IS UNINSTALLED FROM YOUR COMPUTER. IN NO EVENT SHALL UBISOFT BE LIABLE IN CONNECTION WITH THE COMPONENTS THAT MAY BE INSTALLED ON YOUR COMPUTER BY ANY DRM SOFTWARE OR IN CONNECTION WITH THE ANTI- TAMPER TECHNOLOGY. FOR FURTHER INFORMATION, PLEASE VISIT THE WEBSITE OF THE DRM SOFTWARE OR OF THE ANTI-TAMPER TECHNOLOGY. AN INTERNET CONNECTION, A UPLAY ACCOUNT AND INSTALLATION OF THE UPLAY CLIENT SOFTWARE (XXX.XXXXX.XXX) AND REGISTRATION WITH ENCLOSED SINGLE-USE SERIAL CODE ARE REQUIRED TO ACTIVATE THE GAME AFTER INSTALLATION ON ANY NEW COMPUTER, AUTHENTICATE YOUR COMPUTER AT ANY GIVEN TIME, ACCESS ONLINE FEATURES, PLAY OR UNLOCK EXCLUSIVE CONTENT. WHILE THERE IS NO LIMIT TO THE TOTAL NUMBER OF COMPUTERS ON WHICH THE PRODUCT MAY BE ACTIVATED, YOU MAY ONLY ACTIVATE THE PRODUCT ON FIVE (5) DISTINCT COMPUTERS IN A 24 HOUR PERIOD. IF YOU CIRCUMVENT THE DRM SOFTWARE, THE PRODUCT WILL NOT BE ACCESSIBLE ANYMORE AND THE LICENSE GRANTED PER THIS END USER LICENSE AGREEMENT WILL BE DEEMED TERMINATED FOR MATERIAL BREACH. YOU ARE RESPONSIBLE FOR KEEPING THE SERIAL CODE OF THIS PRODUCT AT ALL TIMES. YOU WILL NEED IT TO INSTALL THE PRODUCT ON OTHER COMPUTERS. THE SERIAL CODE MAY ONLY BE USED FOR ONE SINGLE UPLAY ACCOUNT. AGE RESTRICTIONS MAY BE IMPOSED TO ACCESS ONLINE SERVICES AND FEATURES IN COMPLIANCE WITH LOCAL LAWS.
3.2 If You are using the Product on a Compatible Mobile Terminal, this Section 3.2 is applicable to You and to Your use of the Product:
Access to the Product. Agent shall not, and shall ensure that its affiliates and their respective employees, representatives and agents do not, directly or indirectly, in whole or in part reverse engineer, copy, modify, translate, decompile, create a derivative work of, reverse assemble or otherwise attempt to discover any source code, sell, assign, rent, lease, convey, or sublicense the Product or any AgencyZOOM Intellectual Property, or disclose or disseminate any software code or other proprietary elements of the Product or any AgencyZOOM Intellectual Property or any portion thereof. For the avoidance of doubt, any attempt to view, copy, store, or disassemble the object code of the Product is unauthorized and will result in immediate termination of Agent's rights hereunder, if any. From time to time and in the sole discretion of AgencyZOOM, the Product may be modified and AgencyZOOM may include additional conditions, features and modifications.
Access to the Product. 3.1 THE PRODUCT MAY BE PROTECTED BY DIGITAL RIGHTS MANAGEMENT SOFTWARE (“DRM SOFTWARE”). IN SUCH CASE, YOU HEREBY AGREE, ACKNOWLEDGE AND CONSENT TO THE FOLLOWING REGARDING THE DRM SOFTWARE: (I) THE INSTALLATION OF THE PRODUCT WILL CAUSE THE DRM SOFTWARE TO BE INSTALLED ON YOUR COMPUTER; (II) THE DRM SOFTWARE MAY LIMIT THE NUMBER OF INSTALLATIONS OF THE PRODUCT;
Access to the Product. You acknowledge and agree that:
5.4.1. we may need to restrict your access to some parts of or all of the Product at any time or for any period for the purposes of maintenance, upgrade, content updates, or repair. We will use reasonable endeavours to give you as much notice as is reasonably practicable in the circumstances of such planned activity and to minimise any restriction or down-time where reasonably practicable;
5.4.2. you shall at all times be responsible for: (i) all Customer Material used, transmitted and stored in connection with the Product and shall ensure that the Customer Materials comply with, and that your and the Enrolled Users' use of the Product complies with the Acceptable Use Policy; (ii) complying with applicable laws in relation to access and use of the Product and performing your obligations under this Contract; and
5.4.3. in order to access and use the Product you are responsible for making all arrangements necessary to enable Enrolled Users to access and use the Product via the Internet including ensuring your systems and web browsers used to access and use the Product are kept up to date and current in accordance with the Minimum Technical Requirements as specified in the Contract Information.
Access to the Product. The download tool may be protected by digital rights management software (‘DRM’). In this case you hereby agree, acknowledge and consent to the following regarding the DRM software:
i. The installation of the download tool part of the Products will cause the DRM software to be installed on your computer.
ii. The DRM software may limit the number of installations of the Products
iii. The DRM software may install on your computer additional components required for copy protection
iv. During installation and use an online connection may be required and the Products may not work without this.
v. Your use of the DRM software is subject to a separate licence agreement between you and the DRM software rights owner. Under no circumstances shall Embed be liable for any components installed by DRM software on your computer.
Access to the Product. If not explicitly stated otherwise, all deliveries under this XXXX will be digital. The Licensee must have an Internet connection in order to access and download the product. To clarify, the Licensee is solely responsible for obtaining and installing the Software from NSPX's web site at xxxxx://xxxxxxxxxxxx.xxx. Licensee acknowledge that the Software may periodically connect to NSPX's servers via the Internet to confirm the Licensee's right to use the Software or to check for updates.
Access to the Product. (a) SBBC’s authorized users will need valid usernames and passwords to access the Product. SBBC is responsible for the integrity and security of these usernames and passwords. SBBC will advise Curriculum Associates immediately if any of SBBC’s usernames and/or passwords have been compromised.
(b) Curriculum Associates will use commercially reasonable efforts to make the Product available to the SBBC 24 hours a day, except for: (a) planned downtime, of which Curriculum Associates will give SBBC reasonable notice where possible, and which Curriculum Associates shall use reasonable efforts to schedule during the hours from 5:00 p.m. Eastern time to 7:00 a.m. Eastern time; or (b) any unavailability caused by circumstances beyond Curriculum Associate’s reasonable control, including without limitation, acts of God, acts of government, flood, fire, earthquakes, civil unrest, acts of terror, strikes or other labor problems, or Internet service provider failures or delays.
Access to the Product. 5.1. All deliveries under this Agreement will be electronic. Customer and its Users must have an Internet connection in order to access the DSA and receive any deliveries. For the avoidance of doubt, Customer is responsible for downloading and installing the Products, which are made available for download on DSharp’s downloading and support area.
5.2. Customer and its Users may use the DSA in accordance with its documentation. Customer and its Users are solely responsible for the accuracy of any information provided via and any action taken through the DSA.
5.3. Customer may enable Users to access Products in one of the following ways:
(A) By sending an invitation from Customer’s DSA to a User DSA. Customer acknowledges and agrees that the Product will periodically connect from a User Client to DSharp’s servers via the Internet to confirm the User’s right to use the Product;
(B) By providing an offline activation code to the User for offline Product activation. It is Customer’s responsibility to apply it to the Product registration screen every time changes are made to the right of use assignment or Subscription plan, as well as whenever a subscription is renewed; Currently with version 5.0 both options A and B are in use. By accepting this agreement customer gives consent for DSharp to store information on DSharp’s Servers: - User’s email address - User ID (Windows user account) - Users’s computer UID (generated by the Product) - Login timestamp. Access to the Product. You agree that you will not at any time disclose, transfer or permit any other person to use your installation or registration codes. You are responsible for taking all reasonable steps to ensure that no unauthorised person shall have access to your installation or registration codes.
