Common use of Accommodations by Lenders Clause in Contracts

Accommodations by Lenders. The failure of any Lender to make an Accommodation shall not relieve any other Lender of its obligations in connection with such Accommodation, but no Lender is responsible for any other Lender's failure in respect of an Accommodation. Unless the Administrative Agent receives notice from a Lender prior to the date of any Accommodation that the Lender will not make its rateable portion of the Accommodation available to the Administrative Agent, the Administrative Agent may assume that the Lender has made its portion so available on the date of the Accommodation and may, in reliance upon such assumption, make a corresponding amount available to the Borrower. If the Lender has not made its rateable portion available to the Administrative Agent, the Lender shall pay the corresponding amount to the Administrative Agent immediately upon demand. If the Lender pays the corresponding amount to the Administrative Agent, the amount so paid shall constitute the Lender's part of the Accommodation for purposes of this Agreement. If the Lender does not pay the amount to the Administrative Agent immediately upon demand and such amount has been made available to the Borrower, the Borrower shall pay the corresponding amount to the Administrative Agent immediately upon demand and any amount received and so reimbursed would not and will not constitute an Accommodation. The Administrative Agent shall also be entitled to recover from the Lender or the Borrower, as the case may be, interest on the corresponding amount, for each day from the date the amount was made available to the Borrower until the date it is repaid to the Administrative Agent, at a rate per annum equal to the Administrative Agent's cost of funds.

If the Lender does not pay the amount to the Administrative Agent immediately upon demand and such amount has been made available to the Borrower, the Borrower shall pay the corresponding amount to the Administrative Agent immediately upon demand and any amount received and so reimbursed would not and will not constitute an Accommodation. The Administrative Agent shall also be entitled to recover from the Lender or the Borrower, as the case may be, with interest on the corresponding amountthereon, for each day from and including the date the such amount was is made available to the Borrower until to but excluding the date it is repaid of payment to the Administrative Agent, at a rate per annum equal determined by the Administrative Agent in accordance with prevailing banking industry practice on interbank compensation. If such Lender pays such amount to the Administrative Agent's cost of funds, then such amount shall constitute such Lender’s Accommodation included in such Accommodation. If the Lender does not do so forthwith, the Borrower shall pay to the Administrative Agent forthwith on demand such corresponding amount with interest thereon at the interest rate applicable to the Accommodation in question. Any payment by the Borrower shall be without prejudice to any claim the Borrower may have against a Lender that has failed to make such payment to the Administrative Agent.

If the Lender does not pay the amount to the Administrative Agent immediately upon demand and such amount has been made available to the Borrower, the Borrower shall pay the corresponding amount to the Administrative Agent immediately upon demand and any amount received and so reimbursed would not and will not constitute an Accommodation. The Administrative Agent shall also be entitled to recover from the Lender or the Borrower, as the case may be, interest on the corresponding amount, for each day from the date the amount was made available to the Borrower until the date it is repaid to the Administrative Agent, at a rate per annum equal to the Administrative Agent's ’s cost of funds.

If and to the extent such Lender has shall not have made its rateable portion available to the Administrative Agent, the such Lender shall pay the such corresponding amount to the Administrative Agent immediately upon forthwith on demand. If the such Lender pays the shall pay such corresponding amount to the Administrative Agent, the amount so paid shall constitute the such Lender's Advance as part of the Accommodation such Borrowing or Drawing for purposes of this Agreement. If the such Lender does shall not pay the such corresponding amount to the Administrative Agent immediately upon forthwith on demand and such amount has shall have been made available to the Borrower, the Borrower shall pay the such corresponding amount to the Administrative Agent immediately upon forthwith on demand and the Borrower hereby agrees that any such amount received and so reimbursed would not and will not constitute an AccommodationAccommodation hereunder. The Administrative Agent shall also be entitled to recover from the such Lender or the Borrower, as the case may be, interest on the such corresponding amount, for each day from the date the such amount was is made available to the Borrower until the date it such amount is repaid to the Administrative Agent, at a rate per annum equal to the Administrative Agent's cost of funds.
