Common use of Accountants' Certificate Clause in Contracts

Accountants' Certificate. At each time financial statements are delivered pursuant to Section 7.1(b), a certificate of the independent public accountants certifying such financial statements that in connection with their audit, nothing came to their attention that caused them to believe that the U.S. Borrower or the Borrower failed to comply with the terms, covenants, provisions or conditions of Article IX or, if such is not the case, specifying such non-compliance and its nature and period of existence.

Accountants' Certificate. At each time financial statements are delivered pursuant to Section 7.1(b), a certificate of the independent public accountants certifying such financial statements that in connection with their audit, nothing came to their attention that caused them to believe that the U.S. Borrower or the Borrower failed to comply with the terms, covenants, provisions or conditions of Article Articles IX or, if such is not the case, specifying such non-compliance and its nature and period of existence.

At each time financial statements are delivered pursuant to Section 7.1(b6.01(a), a certificate of the independent public accountants certifying such financial statements that in connection with their audit, nothing came to their attention that caused them to believe that the U.S. Borrower or the Borrower failed to comply with the terms, covenants, provisions or conditions of Article IX VII, insofar as they relate to financial and accounting matters or, if such is not the case, specifying such non-compliance and its nature and period of existence.

At each time financial statements are delivered pursuant to Section 7.1(b), a certificate of from the independent public accountants certifying such financial statements that addressed to the Administrative Agent for the benefit of the Lenders and stating that, in connection with their audit, nothing came to their attention that caused them to believe that the U.S. Borrower or the Borrower failed to comply with the terms, covenants, provisions or conditions of Article IX or, if such is not the case, specifying such non-compliance and its nature and period of existencethis Agreement insofar as they relate to accounting matters.

At each time financial statements are delivered pursuant to Section 7.1(b8.1(b), a certificate of the independent public accountants addressed to the Administrative Agent for the benefit of the Lenders certifying such financial statements and stating that in connection with their audit, nothing came to their attention that caused them to believe that the U.S. Borrower or the Borrower any of its Subsidiaries failed to comply with the terms, covenants, provisions or conditions of Article IX X or Article XI, insofar as they relate to accounting matters or, if such is not the case, specifying such non-compliance and its nature and period of existencecompliance.

At each time financial statements are delivered pursuant to Section 7.1(b), a certificate of the independent public accountants certifying such financial statements that in connection with their audit, nothing came to their attention that caused them to believe that the U.S. Borrower or the Borrower Borrowers failed to comply with the terms, covenants, provisions or conditions of Article Articles IX and X, insofar as they relate to financial and accounting matters or, if such is not the case, specifying such non-compliance and its nature and period of existence.
