Common use of Accountant’s Comfort Letter Clause in Contracts

Accountant’s Comfort Letter. At the time of the execution of this Agreement, the Representative shall have received from Rxxxxxxxx, Rxxx, Bxxxx, Bxxxxx P.A. a letter, dated such date, in form and substance satisfactory to the Representative, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

Accountant’s Comfort Letter. At the time of the execution of this Agreement, the Representative Representatives shall have received from RxxxxxxxxXxxxx Xxxxxxxx LLP, Rxxx, Bxxxx, Bxxxxx P.A. a letter, dated such date, in form and substance satisfactory to the RepresentativeRepresentatives, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

McGladrey LLP a letter, dated such date, in form and substance satisfactory to the Representative, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.

At the time of the execution of this the applicable Terms Agreement, the Representative Representative(s) shall have received from Rxxxxxxxx, Rxxx, Bxxxx, Bxxxxx P.A. the Company’s independent accountants a letter, letter dated such date, in form and substance satisfactory to the RepresentativeRepresentative(s), together with signed or reproduced copies of such letter for each of the other Underwriters Underwriters, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.

At the time of the execution of this Agreement, the Representative shall have received from RxxxxxxxxXxxxxx, RxxxXxxxx and Company, BxxxxLLP, Bxxxxx P.A. independent public accountants for the Company, a letter, letter dated such date, in form and substance satisfactory to the Representative, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.

PC, respectively, a letter, letter dated such date, in form and substance satisfactory to the RepresentativeRepresentatives, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.

At the time of the execution of this the applicable Terms Agreement, the Representative Representatives shall have received from RxxxxxxxxPricewaterhouseCoopers LLP, Rxxxthe Company’s principal independent registered public accounting firm, Bxxxx, Bxxxxx P.A. a letter, letter dated such date, in form and substance satisfactory to the Representative, Representatives together with signed or reproduced copies of such letter for each of the other Underwriters Underwriters, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Preliminary Prospectus and the Prospectus.

Accountant’s Comfort Letter. At the time of the execution of this Agreement, the Representative Representatives shall have received from RxxxxxxxxCxxxx & Company, Rxxx, Bxxxx, Bxxxxx P.A. Ltd. a letter, dated such date, the date of this Agreement and in form and substance satisfactory to the RepresentativeRepresentatives, together with signed or reproduced copies of such letter for each of the other Underwriters Underwriters, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information of the Fund contained in the Registration Statement, the General Disclosure Package and Original Registration Statement, the Preliminary Prospectus or the Prospectus.

Gxxxx Xxxxxxxx LLP a letter, dated such date, in form and substance satisfactory to the Representative, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.

Accountant’s Comfort Letter. At the time of the execution of this Agreement, the Representative Representatives shall have received from Rxxxxxxxx, Rxxx, Bxxxx, Bxxxxx P.A. Arthxx Xxxexxxx XXX a letter, letter dated such date, in form and substance satisfactory to the RepresentativeRepresentatives, together with signed or reproduced copies of such letter for each of the other U.S. Underwriters containing statements and information of the type ordinarily included in accountants’ “' "comfort letters” " to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the ProspectusProspectuses.

Accountant’s Comfort Letter. At the time of the execution of this Agreement, the Representative shall have received from Rxxxxxxxx, Rxxx, Bxxxx, Bxxxxx P.A. Mxxx Axxxx LLP a letter, letter dated such date, in form and substance satisfactory to the Representative, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.

Accountant’s Comfort Letter. At the time of the execution of this Agreement, the Representative shall have received from Rxxxxxxxx, Rxxx, Bxxxx, Bxxxxx P.A. each of Hxxx & Associates LLP and Mxxx Axxxx LLP a letter, letter dated such date, in form and substance satisfactory to the Representative, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.

Arthxx Andexxxx XXX a letter, letter dated such date, in form and substance satisfactory to the RepresentativeRepresentatives, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “' "comfort letters” " to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.

At the time of the execution of this Agreement, the Representative shall have received from RxxxxxxxxPxxxxx & Mxxxx, RxxxPLLC, Bxxxx, Bxxxxx P.A. a letter, dated such date, in form and substance satisfactory to the Representative, together with signed or reproduced copies of such letter for each of the other Underwriters Underwriters, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

Accountant’s Comfort Letter. At the time of the execution of this Agreement, the Representative Representatives shall have received from Rxxxxxxxx, Rxxx, Bxxxx, Bxxxxx P.A. [·] a letter, dated such date, the date of this Agreement and in form and substance satisfactory to the RepresentativeRepresentatives, together with signed or reproduced copies of such letter for each of the other Underwriters Underwriters, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information of the Fund contained in the Registration Statement, the General Disclosure Package and Preliminary Prospectus or the Prospectus.

At the time of the execution of this Agreement, the Representative Xxxxx Xxxxxxxx shall have received from Rxxxxxxxxeach of KPMG LLP and from Xxxxx Xxxxxx PLLC, Rxxx, Bxxxx, Bxxxxx P.A. a letter, letter dated such date, in form and substance satisfactory to the RepresentativeUnderwriter, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters Underwriter with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.

Accountant’s Comfort Letter. At the time of the execution of this Agreement, the Representative shall have received from RxxxxxxxxXxxxx & Company, Rxxx, Bxxxx, Bxxxxx P.A. Ltd. a letter, dated such date, the date of this Agreement and in form and substance satisfactory to the Representative, together with signed or reproduced copies of such letter for each of the other Underwriters Underwriters, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information of the Fund contained in the Registration Statement, the General Disclosure Package and Original Registration Statement, the Preliminary Prospectus or the Prospectus.

Xxxxx a letter, letter dated such datethe date hereof, in form and substance reasonably satisfactory to the RepresentativeRepresentatives, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the Statement and General Disclosure Package and the ProspectusPackage.

Decosimo a letter, letter dated such date, in form and substance reasonably satisfactory to the Representative, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “' "comfort letters” " to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.
