Common use of Accountant’s Comfort Letter Clause in Contracts

Accountant’s Comfort Letter. On the date hereof, the Representative shall have received from the Accountant, a letter dated the date hereof addressed to the Representative, in form and substance satisfactory to the Representative, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to Representative, delivered according to Statement of Auditing Standards No. 72 (or any successor bulletin), with respect to the audited and unaudited financial statements and certain financial information contained in the Registration Statement and the Prospectus.

Accountant’s Comfort Letter. On the date hereof, the Representative shall have received from the Accountant, a letter dated the date hereof addressed to the Representative, in form and substance satisfactory to the Representative, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to the Representative, delivered according to Statement of Auditing Standards No. 72 (or any successor bulletin), with respect to the audited and unaudited financial statements and certain financial information contained in the Registration Statement and the Prospectus.

On the date hereof, the Representative Representatives shall have received from PricewaterhouseCoopers LLP, independent registered public accountants for the AccountantCompany, a letter dated the date hereof addressed to the RepresentativeUnderwriters, in form and substance satisfactory to the Representative, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to Representative, delivered according to Statement of Auditing Standards No. 72 (or any successor bulletin), Representatives with respect to the audited and unaudited financial statements and certain financial information contained in the Registration Statement Statement, the Preliminary Prospectus and the Prospectus.

On the date hereof, the Representative Representatives shall have received from the Accountant, Company’s independent registered public accountants a letter dated the date hereof addressed to the RepresentativeUnderwriters, in form and substance reasonably satisfactory to the Representative, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to Representative, delivered according to Statement of Auditing Standards No. 72 (or any successor bulletin), Representatives with respect to the audited and unaudited financial statements and certain financial information contained or incorporated by reference in the Registration Statement Statement, the Time of Sale Information and the Prospectus.

On the date hereof, the Representative Representatives shall have received from PricewaterhouseCoopers LLP, independent public accountants for the AccountantIssuer and the Guarantor, a letter dated the date hereof addressed to the RepresentativeUnderwriters, in form and substance satisfactory to the RepresentativeUnderwriters, containing statements and information of the type ordinarily customarily included in accountants’ accountants “comfort letters” to Representative, delivered according to Statement of Auditing Standards No. 72 (or any successor bulletin), underwriters with respect to the audited and unaudited financial statements and certain financial information contained or incorporated by reference in the Registration Statement Statement, the Disclosure Package and the Prospectus.

On the date hereof, the Representative shall have received from each of the AccountantAccountants, a letter dated the date hereof addressed to the Representative, in form and substance satisfactory to the Representative, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to Representative, delivered according to Statement of Auditing Standards No. 72 (or any successor bulletin), with respect to the audited and unaudited financial statements and certain financial information contained in the Registration Statement and the Prospectus.

On the date hereof, the Representative shall have received from the Accountant, a letter dated the date hereof addressed to the RepresentativeUnderwriters, in form and substance satisfactory to the Representative, containing statements and information of the type ordinarily included in accountants’ accountant’s “comfort letters” to Representative, delivered according to Statement of Auditing Standards No. 72 (or any successor bulletin), underwriters with respect to the audited and unaudited financial statements and certain financial information contained in the Registration Statement and the ProspectusProspectus (and the Representative shall have received an additional four conformed copies of such accountant’s letter for the several Underwriters).

On the date hereof, the Representative shall have received from the Accountant, Company’s independent registered public accountants a letter dated the date hereof addressed to the RepresentativeUnderwriters, in form and substance reasonably satisfactory to the Representative, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to Representative, delivered according to Statement of Auditing Standards No. 72 (or any successor bulletin), Representative with respect to the audited and unaudited financial statements and certain financial information contained or incorporated by reference in the Registration Statement Statement, the Time of Sale Information and the Prospectus.

On or prior to the date hereof, the Representative Representatives shall have received from the AccountantXxxxxx Xxxxxxxx LLP, independent public or certified public accountants for The Xxxxxx Group, a letter dated the date hereof addressed to the RepresentativeUnderwriters, in form and substance satisfactory to the Representative, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to Representative, delivered according to Statement of Auditing Standards No. 72 (or any successor bulletin), with respect to the audited and unaudited financial statements and certain financial information contained in the Registration Statement and the ProspectusRepresentatives.
