Common use of Accountants’ Comfort Letters Clause in Contracts

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from Ernst & Young LLP a letter dated such date, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from Ernst & Young LLP LLP, independent registered public accountants for the Company, a letter letter, dated such date, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters Underwriters, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives Representative shall have received from Ernst & Young Xxxxxx LLP a letter letter, dated such date, in form and substance reasonably satisfactory to the RepresentativesRepresentative, together with signed or reproduced copies of such letter letters for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

At the time of the execution of this Agreement, the Representatives Representative shall have received from Ernst & Young Xxxxx LLP a letter dated such date, in form and substance satisfactory to the RepresentativesRepresentative, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information of the Company contained in the Registration Statement, the General Disclosure Package and the Prospectus.

At the time of the execution of this Agreement, the Representatives shall have received a letter dated the date hereof from Ernst & Young LLP a letter dated such dateYoung, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter letters for each of the other Underwriters Underwriters, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Time of Sale Information and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from Ernst & Young LLP a letter two (2) letters dated such datedate relating to the Company and Hxxxx Group, LLC respectively, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter letters for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from Ernst & Young LLP, KPMG, LLP a letter and Deloitte & Touche LLP letters dated such date, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter letters for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “' "comfort letters” " to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.

(i) At the time of the execution of this Agreement, the Representatives shall have received from Ernst & Young LLP a letter dated such date, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.

At the time of the execution of this Agreement, the Representatives Representative shall have received from each of Ernst & Young LLP, Grobstein, Hxxxxxx & Company LLP and Mxxx Axxxx LLP a letter dated such date, in form and substance satisfactory to the RepresentativesRepresentative, together with signed or reproduced copies of such letter for each of the other Underwriters Underwriters, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.

At the time of the execution of this Agreement, the Representatives Representative shall have received from each of McGladrey & Xxxxxx, LLP and Ernst & Young LLP a letter dated such date, in form and substance satisfactory to the RepresentativesRepresentative, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from each of Ernst & Young LLP a letter dated and Arthur Andersen LLP, x xxxtxx xxxxx such date, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters Underwriters, containing statements and information of the type ordinarily included in accountants’ “' "comfort letters” " to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the ProspectusProspectus in a form acceptable to the Representatives.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from each of Ernst & Young LLP and McGladrey LLP a letter letter, dated such date, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter letters for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives Representative shall have received from Ernst & Young LLP LLP, independent registered public accountants for the Company, a letter letter, dated such date, in form and substance satisfactory to the RepresentativesRepresentative, together with signed or reproduced copies of such letter for each of the other Underwriters Underwriters, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

At the time of the execution of this Agreement, the U.S. Representatives shall have received from each of Ernst & Young LLP and KPMG LLP a letter dated such date, in form and substance reasonably satisfactory to the U.S. Representatives, together with signed or reproduced copies of such letter for each of the other U.S. Underwriters containing statements and information of the type ordinarily included in accountants’ “' "comfort letters” " to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the ProspectusProspectuses.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from each of Ernst & Young LLP and CohnReznick LLP a letter letter, dated such date, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters Initial Purchasers containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the ProspectusOffering Memorandum.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from each of Ernst & Young LLP and Deloitte and Touche LLP a letter dated such date, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

At the time of the execution of this Agreement, the Representatives shall have received from Ernst & Young LLP Young, a letter dated such date, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “' "comfort letters” " to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.

At the time of the execution of this Agreement, the Representatives shall have received from each of Ernst & Young LLP and PricewaterhouseCoopers LLP a letter letter, dated such date, in form and substance reasonably satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters Underwriters, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the applicable financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from Ernst & Young LLP a letter letter, dated such date, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ accountants “comfort letters” to underwriters with respect to the financial statements and certain financial information contained included and incorporated by reference in the Registration Statement, the General Disclosure Package Time of Sale Information and the ProspectusProspectus (including, without limitation, the pro forma financial statements) and substantially in the same form as the draft letter previously delivered to and approved by the Representatives.

At the time of the execution of this Agreement, the Representatives shall have received from Xxxx Xxxxx Xxxxxx & Kasierer, a member of Ernst & Young LLP Global, a letter letter, dated such date, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

At the time of the execution of this Agreement, the Representatives Representative shall have received from each of Ernst & Young LLP, PricewaterhouseCoopers LLP and Deloitte & Touche LLP, a letter letter, dated such date, in form and substance satisfactory to the RepresentativesRepresentative, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.
