Common use of Accountants’ Comfort Letters Clause in Contracts

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from BDO USA, LLP a letter, dated such date, in form and substance reasonably satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives Representative shall have received from BDO USA, each of Xxxxx Xxxxxx Xxxxxxx LLP and Xxxxx Xxxxxxxx LLP a letter, dated such date, in form and substance reasonably satisfactory to the RepresentativesRepresentative, together with signed or reproduced copies of such letter letters for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from BDO USAXxxxx Xxxxxxxx LLP, LLP a letter, dated such date, the date of this Agreement and in form and substance reasonably satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information Partnership Financial Statements contained in the Registration Statement, the General Disclosure Package Package, any Issuer Free Writing Prospectuses (other than any electronic road show) and the ProspectusProspectus and any amendments or supplements thereto.

At the time of the execution of this Agreement, the Representatives shall have received from BDO USAPricewaterhouseCoopers LLP letters, LLP a letter, each dated such date, in form and substance reasonably satisfactory to the Representatives, together with signed or reproduced copies of such letter letters for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

At the time of the execution of this Agreement, the Representatives Representative shall have received from BDO USA, each of PBMares LLP and Xxxxx Xxxxxxxx LLP a letter, dated such date, in form and substance reasonably satisfactory to the RepresentativesRepresentative, together with signed or reproduced copies of such letter letters for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

At the time of the execution of this Agreement, the Representatives shall have received from BDO USAPricewaterhouseCoopers LLP and SS&G, LLP a letterInc. letters, dated such date, in form and substance reasonably satisfactory to the Representatives, together with signed or reproduced copies of such letter letters for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

At the time of the execution of this Agreement, the Representatives Representative shall have received from each of BDO USA, LLP a letterand PBMares, LLP letters, dated such date, in form and substance reasonably satisfactory to the RepresentativesRepresentative, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

At the time of the execution of this Agreement, the Representatives shall have received from BDO USA, each of PricewaterhouseCoopers LLP and Cornerstone Accounting Group LLP a letter, letter dated such date, in form and substance reasonably satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.

At the time of the execution of this Agreement, the Representatives shall have received from BDO USA, LLP PricewaterhouseCoopers Aarata a letter, letter dated such date, in form and substance reasonably satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other International Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Statement and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from BDO USA, Xxxxxx LLP a letter, dated such date, in form and substance reasonably satisfactory to the Representatives, together with signed or reproduced copies of such letter letters for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

At the time of the execution of this Agreement, the Representatives Representative shall have received from BDO USA, LLP each of the Accountants a letter, letter dated such date, in form and substance reasonably satisfactory to the RepresentativesRepresentative, together with signed or reproduced copies of such letter letters for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information of the Company contained in the Registration Statement, the General Disclosure Package and the Prospectus.

At the time of the execution of this Agreement, the Representatives Representative shall have received from BDO USAXxxxxx LLP and Xxxxxxx & Xxxxxx, LLP a letterLLC letters, dated such date, in form and substance reasonably satisfactory to the RepresentativesRepresentative, together with signed or reproduced copies of such letter letters for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received a letter dated the date hereof from BDO USA, LLP a letter, dated such date[insert name of auditor], in form and substance reasonably satisfactory to the Representatives, together with signed or reproduced copies of such letter letters for each of the other Underwriters Underwriters, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package Time of Sale Information and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from BDO USAXxxxxx LLP and Xxxxxxx & Xxxxxx, LLP a letterLLC letters, dated such date, in form and substance reasonably satisfactory to the Representatives, together with signed or reproduced copies of such letter letters for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives Representative shall have received from each of BDO USA, LLP and BDO AG a letter, dated such date, in form and substance reasonably satisfactory to the RepresentativesRepresentative, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from BDO USA, LLP a letter, dated such date, the date hereof addressed to the Underwriters and in form and substance reasonably satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of from the other Underwriters independent accountants to the Company, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from BDO USA, Xxxxxx LLP a letter, dated such date, in form and substance reasonably satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from BDO USA, LLP a letter, dated such date, the date hereof and in form and substance reasonably satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of from the other Underwriters independent accountants to the Company, containing statements and information of the type ordinarily included in accountants’ “comfort letters” to underwriters with respect to the financial statements and certain financial information contained in the Registration Statement, the General Disclosure Package and the Prospectus.

Accountants’ Comfort Letters. At the time of the execution of this Agreement, the Representatives shall have received from BDO USA, PricewaterhouseCoopers LLP a letter, letters dated such date, in form and substance reasonably satisfactory to the Representatives, together with signed or reproduced copies of such letter letters for each of the other Underwriters Initial Purchasers containing statements and information of the type ordinarily included in accountants’ “' "comfort letters” " to underwriters Initial Purchasers with respect to the financial statements and certain financial information of each of the Company, Pepco and Conectiv contained in the Registration Statement, the General Disclosure Package and the ProspectusOffering Memorandum.
