Common use of Accountants' Letters Clause in Contracts

Accountants' Letters. (i) Deloitte & Touche LLP will review the characteristics of a sample of the Mortgage Loans described in the Final Mortgage Loan Schedule and will compare those characteristics to the description of the Mortgage Loans contained in the Prospectus Supplement under the captions "Summary of Terms - The Mortgage Pool" and "Description of the Mortgage Loans" and in Schedule A thereto. The Mortgage Loan Seller will cooperate with the Purchaser in making available all information and taking all steps reasonably necessary to permit such accountants to complete the review and to deliver the letters required of them under the Underwriting Agreement. Deloitte & Touche LLP will also confirm certain calculations as set forth under the caption "Yield and Prepayment Considerations" in the Prospectus Supplement. (ii) To the extent statistical information with respect to the Servicer's servicing portfolio is included in the Prospectus Supplement under the caption "The Servicer," a letter from the certified public accountant for the Servicer will be delivered to the Purchaser dated the date of the Prospectus Supplement, in the form previously agreed to by the Mortgage Loan Seller and the Purchaser, with respect to such statistical information.

(iib) To the extent statistical information with respect to the Servicer's EMC’s servicing portfolio is included in the Prospectus Supplement under the caption "“Servicing of the Mortgage Loans—The Master Servicer—Delinquency and Foreclosure Experience of EMC," ” a letter from the certified public accountant for the Servicer EMC will be delivered to the Purchaser dated the date of the Prospectus Supplement, in the form previously agreed to by the Mortgage Loan Seller EMC and the Purchaser, with respect to such statistical information.
