Common use of Accountants' Reports Clause in Contracts

Accountants' Reports. Promptly upon receipt thereof, copies of all reports, if any, submitted to the Borrower or its Board of Directors by its independent public accountants in connection with their auditing function, including, without limitation, any management report and any management responses thereto.

Promptly upon receipt thereof, true and complete copies of all reports, if any, reports submitted to Borrower by an independent certified public accountant in connection with each annual, interim or special audit of the books of Borrower or its Board of Directors subsidiaries made by its independent public accountants in connection with their auditing functionsuch accountant, including, without limitation, any management report and any management responses theretoletter commenting on the internal controls of Borrower or its subsidiaries."
