Accounting and Certain Other Terms. All accounting terms not specifically defined herein shall be construed in accordance with GAAP, and all accounting determinations made and all financial statements prepared hereunder shall be made and prepared in accordance with GAAP. All undefined terms contained in this Agreement which are used in Article 9 of the UCC in the State of New York shall have the meanings provided for by such Article 9.
