Accounting Changes Requested by Parent. Notwithstanding Section 7.2 above, Tronox will make any changes in its accounting estimates or accounting principles that reasonably are requested by Parent in order for Tronox’s accounting practices and principles to be consistent with those of Parent.

Accounting Changes Requested by Parent. Notwithstanding Section 6.2(f), Parent may request that SpinCo make changes in its accounting estimates or accounting principles in order for SpinCo’s accounting practices and principles to be consistent with those of Parent; provided that SpinCo shall not be required to make any such changes if SpinCo’s accounting estimates or accounting principles are in accordance with GAAP and consistent with SEC reporting requirements.
