Accounting Terms and Other Determinations. Unless otherwise specified herein, all accounting terms used herein shall be interpreted, all accounting determinations hereunder shall be made, and all financial statements required to be delivered hereunder shall be prepared in accordance with GAAP. The words "herein," "hereof," "hereunder," and words of similar import refer to this Agreement as a whole and not to a particular article, section, paragraph or other subdivision. All other terms used herein shall have the meanings stated herein or, if not otherwise defined herein, the meanings for such terms provided in the UCC.
