Common use of Accuracy of Representations and Warranties and Compliance with Obligations Clause in Contracts

Accuracy of Representations and Warranties and Compliance with Obligations. The representations and warranties of Purchaser contained in this Agreement shall be true and correct at and as of the Closing with the same force and effect as though made at and as of that time. Purchaser shall have performed and complied with all of its obligations required by this Agreement to be performed or complied with at or prior to the Closing. Purchaser shall have delivered to the Parent a certificate, dated as of the Closing Date, certifying that such representations and warranties are true and correct and that all such obligations have been complied with and performed.

Accuracy of Representations and Warranties and Compliance with Obligations. The representations and warranties of Parent and (at the Closing) of Purchaser and the Asset Owners contained in this Agreement shall be true and correct at and as of the Closing with the same force and effect as though made trade at and as of that time. Purchaser Parent shall have performed and complied with all of its his obligations required by this Agreement to be performed or complied with at or prior to the Closing. Purchaser Parent and Asset Owners shall have delivered to the Parent Purchaser a certificate, dated as of the Closing Date, certifying that such representations and warranties are true and correct and that all such obligations have been complied with and performed.

The representations and warranties of Purchaser contained in this Agreement shall be true and correct at and as of the Closing Date with the same force and effect as though made at and as of that timetime (except for changes permitted or contemplated by the terms of this Agreement or for those representations and warranties which address matters only as of a particular date, which shall remain true and correct as of such date). Purchaser shall have performed and or complied in all material respects with all of its his respective obligations required by this Agreement to be performed or complied with at or prior to the Closing. Purchaser shall have delivered to the Parent a certificate, dated as of the Closing Date, certifying that such representations and warranties are true and correct and that all such obligations have been complied with and performed.

Purchaser Seller shall have performed and complied with all of its obligations required by this Agreement to be performed or complied with at or prior to the Closing. Purchaser Seller shall have delivered to the Parent Purchaser a certificate, dated as of the Closing Date, certifying that such representations and warranties are true and correct and that all such obligations have been complied with and performed.

The representations and warranties of Purchaser contained in this Agreement shall have been true and correct at the Execution Date, and they shall be true and correct at and in all respects as of the Closing with the same force and effect as though made at and as of that timethe Closing. Purchaser shall have performed and complied with all of its obligations required by this Agreement to be performed or complied with at or prior to the Closing. Purchaser shall have delivered to the Parent a certificate, dated as of the Closing Date, certifying that such representations and warranties are true and correct and that all such obligations have been complied with and performed.
