Common use of Accuracy of Representations and Warranties; Covenants Clause in Contracts

Accuracy of Representations and Warranties; Covenants. The ----------------------------------------------------- representations and warranties of Purchaser contained in Article IV of this Agreement (as qualified by Purchaser's Disclosure Letter) shall be true and correct in all material respects as of the Closing, with the same force and effect as if made as of the Closing, and all the covenants, conditions and other obligations contained in this Agreement and the Ancillary Agreements to be complied with by Purchaser on or before the Closing shall have been complied with in all material respects, and Seller shall have received a certificate of Purchaser, dated as of the Closing Date, to such effect signed by an officer thereof.
